1. Which Sales Records Matter before Checking the Nexus Threshold?
Check where your business operates and stores merchandise before totaling holiday sales. Physical presence may create registration duties before sales reach the economic nexus threshold.
Check Physical Presence and Calendar-Year Sales
An office, inventory, warehouse, or representatives conducting qualifying activities in California may create registration obligations. Review third-party fulfillment arrangements and record when those activities began.
Under Revenue and Taxation Code § 6203, economic nexus generally arises when combined sales of tangible personal property delivered into California exceed $500,000 during the preceding or current calendar year. Include sales by related persons as defined through Internal Revenue Code § 267(b).
The measurement period is a calendar year, rather than a rolling 12 months. For a 2026 review, prepare separate 2025 and 2026 totals. Include qualifying nontaxable merchandise sales, such as sales for resale.
Distinguish the Threshold from Taxable Receipts
A transaction may count toward the threshold while remaining exempt from tax when properly documented. The nexus total and the amount subject to tax therefore require separate calculations.
Remote sellers generally collect use tax, while taxable retail sales made within the state generally fall under sales tax. A state and local tax review should identify the applicable obligation and when it began.
2. Separate Direct Sales from Marketplace Transactions

Keep sales channels identifiable even when they belong in the same threshold calculation. This allows you to check both combined sales and responsibility for collecting tax.
Include Marketplace Sales without Duplicating Tax
Sales through a registered marketplace facilitator generally count toward the seller’s economic nexus threshold, even when the facilitator handles tax. Its responsibility for qualifying facilitated transactions does not ordinarily extend to purchases made directly through your website.
An exclusively marketplace-based seller may qualify for relief from registration when its sales use qualifying facilitators. Adding direct sales changes that analysis. A payment processor or website platform is not automatically a marketplace facilitator.
Match Orders to Settlement Reports
Bank deposits may reflect processing fees, commissions, refunds, and other deductions. Use the underlying orders to establish sales amounts rather than treating deposits as gross sales.
Connect checkout data, invoices, fulfillment records, and channel statements by order number. Review checkout terms and fulfillment separately under the broader e-commerce sales law framework.
3. Trace Discounts, Shipping, and Returns to Each Order
Identify who funded a price reduction, what delivery charges cover, and whether a return produced a qualifying refund. Checkout labels alone do not establish tax treatment.
Identify Who Funded the Discount
A genuine seller-funded discount generally reduces taxable receipts. A manufacturer coupon reimbursed to the retailer generally remains part of the taxable selling price. Other incentives require review of their terms under Regulation 1671.1.
Keep promotion terms and reimbursement statements with the invoice. The customer’s final payment may omit consideration paid by another party.
These records help explain differences between advertised prices, customer payments, and taxable receipts.

Separate Shipping from Handling
For a taxable sale, separately stated delivery charges may qualify for exclusion when shipment goes directly to the purchaser through a qualifying carrier. The exclusion generally cannot exceed actual delivery cost, which the seller must document.
Handling charges are generally taxable, as is the excess over qualifying delivery cost. Combined “shipping and handling” charges need a supported breakdown. Seller-operated delivery and delivered-price arrangements may require different treatment.
Preserve the Original Sale and Refund
Regulation 1655 generally permits a returned-merchandise adjustment when the seller refunds or credits the full selling price, including the amount designated as sales tax. The refund cannot require the customer to buy more expensive replacement property.
Specified rehandling and restocking deductions are permitted subject to cost and documentation requirements. An arbitrary fee does not automatically qualify.
Link the refund to the original order and preserve both dates, particularly across reporting periods. Do not assume that later returns automatically eliminate a registration obligation that already arose.
4. Prepare a Dated Registration and Collection Review
Organize the records so a reviewer can reconstruct the sales total and identify the first relevant obligation. Prepare:
- Separate prior-year and current-year California delivery totals, including relevant related-party sales.
- Direct and marketplace schedules showing who handled tax.
- Order-level discounts, delivery charges, returns, and tax refunds.
- Start dates for inventory storage, facilities, and qualifying representatives.
If Black Friday sales push the current-year total over the threshold, identify the crossing date promptly. CDTFA guidance requires registration at that point and collection on subsequent taxable sales. Earlier physical presence may establish an earlier obligation.
Assign responsibility for reviewing these figures within your business compliance process. If records reveal an earlier unregistered period, an attorney can assess prior filing exposure and available correction procedures.
