How a Limited Liability Company Law Firm Handles Llc Closure Risks

Área de práctica:Corporate

Limited liability company law firm guidance explains that stopping business does not dissolve an LLC or eliminate its unpaid debts.

An LLC registered in California needs a valid basis for dissolution before winding up. Under Corporations Code § 17707.05, known liabilities must be paid or adequately provided for before distributing assets to members. State cancellation also does not replace required federal tax filings.

Contents

1. Why Can an Inactive Llc Still Have Legal Obligations?

Inactivity does not dissolve an LLC. Governing documents and statutory rules determine when winding up begins, while cancellation generally follows the resolution of remaining obligations.

Check Who Can Authorize Dissolution

Under California Corporations Code § 17707.01, dissolution may follow an event specified in the articles or written operating agreement, a qualifying member vote, or a judicial decree. Members holding at least 50% of voting interests may generally approve dissolution unless governing documents require more. Written resolutions help establish authority if another member disputes the decision.

Understand What Cancellation Actually Ends

During winding up, the LLC may collect payments, sell property, settle contracts, and address creditors. Cancellation under § 17707.08 ends ordinary legal powers, but § 17707.06 permits limited activities afterward to resolve remaining affairs. Pending lawsuits do not disappear upon cancellation. These obligations are part of corporate dissolution and liquidation.

2. Which Debts Must an Llc Address before Paying Members?

Known debts and liabilities must be paid or adequately provided for before members receive remaining company assets.

Notify Known Creditors and Review Claims

California Corporations Code § 17707.04 requires those conducting winding up to mail written notice to known creditors and claimants whose addresses appear in LLC records. Review unpaid invoices, future obligations, and disputed demands.

ObligationRecords to Review
Business loansBalances, collateral, guarantees
Commercial leasesExit terms, deposits, guarantees
Supplier claimsInvoices, disputed payments
Pending litigationComplaints, demands, insurance

Contested claims may require negotiation or small business litigation. Creditor notice does not discharge a debt.

Pay or Provide for Liabilities before Distributions

Under § 17707.05, liabilities owed to creditors, including members acting as creditors, must be addressed before distributing remaining assets under statutory priorities and governing documents. Record payments, reserves, and distributions. Section 17707.07 permits certain creditor claims against members up to the value of distributed LLC assets.

Such claims generally must begin before the earlier of the applicable limitations deadline or four years after dissolution, subject to statutory exceptions. This deadline does not govern every claim against the LLC or its members.

3. What Taxes Remain Due When an Llc Closes?

State registration and federal tax classification determine which returns and payments remain necessary after operations cease.

Resolve the $800 Annual Tax and Final State Return

California generally imposes an $800 annual tax on LLCs classified as partnerships or disregarded entities, even without income. Corporation-classified LLCs follow different franchise tax rules.

LLCs subject to Form 568 requirements must review final returns, unpaid taxes, and applicable income-based fees. Avoiding annual LLC tax for subsequent years generally requires:

  • Filing a timely final California return and paying that year's applicable annual tax.
  • Conducting no business in California after the final taxable year.
  • Filing cancellation documents within 12 months after filing the final return.

Failure to meet these conditions may create additional obligations.

Match Federal Filings to Tax Classification

A multi-member LLC taxed as a partnership generally files a final Form 1065. A single-member disregarded LLC reports income through its owner, while corporation-classified LLCs follow applicable corporate filing rules. Employers must also resolve final payroll taxes and wage reporting.

Federal tax elections do not replace state cancellation. Unresolved federal obligations may require small business tax services.

4. Which Filings Complete Llc Cancellation?

Required filings depend on dissolution approval and operating history. Members should review winding-up obligations before selecting a termination procedure.

File Ordinary Dissolution and Cancellation Documents

A domestic LLC ordinarily files a Certificate of Dissolution (LLC-3) and Certificate of Cancellation (LLC-4/7). Under § 17707.08, LLC-3 is unnecessary when all members approve dissolution and the cancellation filing includes the required statement.

Since July 1, 2026, the California Secretary of State has required LLC termination filings through bizfile Online, with Full Access to the entity's record.

Use Short-Form Cancellation Only If Eligible

A domestic LLC may qualify for short-form cancellation (LLC-4/8) within 12 months after filing its articles if it has conducted no business since formation. Additional conditions cover debts, assets, member approval, tax obligations, and returning payments for LLC interests.

Previously operating LLCs cannot qualify merely because they later became inactive. Qualifying short-form cancellation may also eliminate the first taxable year's $800 annual LLC tax.

Retain Records after Cancellation

Preserve member resolutions, creditor notices, settlements, asset distributions, final returns, and filing confirmations. Under § 17707.06, assets omitted during winding up may remain available to satisfy known unpaid liabilities. Cancellation does not eliminate responsibility for overlooked property.

5. Frequently Asked Questions

Does an Inactive LLC Still Need to File a Statement of Information?

Generally, yes. A domestic LLC must file its Statement of Information within 90 days of initial registration and every two years afterward while the filing obligation continues. Having no sales or employees does not remove this requirement. Members should check for overdue filings before cancellation.

Must I Close a Seller's Permit Separately When Closing an LLC?

Yes. An LLC with a California seller's permit must notify the California Department of Tax and Fee Administration when closing. It may request account closure online or submit Form CDTFA-65. Final sales and use tax returns, payments, and reporting of taxable asset dispositions may also be required. LLC cancellation does not automatically close the permit.

6. When Should Owners Seek Legal Review before Cancellation?

Disputed dissolution authority, unpaid creditors, or insufficient assets may complicate closure. SJKP's attorneys can review the operating agreement, creditor records, proposed distributions, and outstanding filings to identify matters requiring resolution before legal termination.
