Business Litigation in the Bronx: Commercial Division Filing Rules

Domaine d’activité :Corporate

Business litigation in the Bronx: Understand court venue, Commercial Division eligibility, filing rules, service deadlines, and costs.

A company's Bronx address does not automatically establish the proper venue for a commercial lawsuit. New York law distinguishes where a case may be filed from whether it qualifies for Supreme Court's Commercial Division. The parties, claims, contract terms, and requested relief determine these decisions.

Contents

1. Where Can a Business Lawsuit Be Filed?

New York Supreme Court has broad civil jurisdiction, while New York City Civil Court generally handles monetary claims up to $50,000. Court selection and county venue require separate analysis.

Venue Based on Residence and Contract Terms

Under CPLR §503(a), venue generally may lie where a party resided when the action began or where a substantial part of the relevant events occurred. Under §503(c), a domestic or authorized foreign corporation is deemed a resident of the county containing its principal office. For domestic corporations, the county designated in the certificate of incorporation may differ from the operating address. Section 503(d) also addresses partnership residence.

CPLR §501 generally recognizes written venue agreements, subject to exceptions. Under §511, a defendant may demand a change of improper venue with or before the answer. If the plaintiff does not consent within five days, the defendant generally must move within 15 days after serving the demand.

State and Federal Court Jurisdiction

The Southern District of New York includes Bronx County, but federal jurisdiction requires an independent basis. Federal-question jurisdiction may apply under 28 U.S.C. §1331. Diversity jurisdiction under §1332 generally requires complete diversity and more than $75,000 in controversy.

A governing-law clause creates neither federal jurisdiction nor a right to a particular state court. Businesses considering civil litigation should distinguish applicable law from court jurisdiction.

2. Which Cases Qualify for the Commercial Division?

The Commercial Division is a specialized part of Supreme Court, not a separate court. Under 22 NYCRR §202.70, assignment depends on commercial subject matter and applicable monetary requirements.

The $75,000 Threshold and Eligible Claims

Bronx County's general threshold is $75,000, excluding punitive damages, interest, costs, disbursements, and claimed attorney fees. Principal claims or counterclaims must involve designated commercial matters, including contracts, business fraud, fiduciary duties, corporate affairs, and Uniform Commercial Code transactions.

A breach of contract lawsuit does not qualify merely because businesses are involved. For equitable or declaratory claims, the threshold generally reflects the greatest value of the intended benefit, protected right, or injury avoided.

Threshold Exceptions and Excluded Cases

Shareholder derivative actions, commercial class actions, and specified business dissolution proceedings are exempt from the monetary threshold. Section 202.70(b)(12) covers qualifying commercial arbitration applications. The threshold does not apply when the relevant agreement provides for arbitration outside the United States.

Excluded matters include professional-fee collection, residential real estate disputes, and commercial rent-only claims. The classification of shareholder disputes therefore matters, but ineligibility for specialized assignment does not necessarily prevent a Supreme Court action.

3. How Are Cases Filed and Assigned?

Commencement, service, and Commercial Division assignment are separate steps with different deadlines.

Nyscef Filing and Service Requirements

Under CPLR §304, an ordinary civil action begins by filing a summons and complaint or summons with notice. Most new civil actions in Bronx County Supreme Court require electronic filing through NYSCEF, subject to case-type exclusions and exemptions. The Bronx County Clerk's Office is at 851 Grand Concourse, Room 118.

CPLR §306-b generally requires service within 120 days after commencement, subject to exceptions and possible extensions for good cause or in the interest of justice. Electronic filing does not constitute service.

Commercial Division Rji and Transfer Deadlines

Under §202.70(d), a party generally must request Commercial Division assignment within 90 days after complaint service by filing a Request for Judicial Intervention (RJI) and Commercial Division RJI Addendum.

If a timely RJI results in general-part assignment because the case was not designated commercial, another party may request transfer by letter to the Administrative Judge within 10 days after receiving the RJI, with copies to all parties. Section 202.70(e) also allows late transfer requests for good cause. These deadlines differ from the defendant's response deadlines.

4. What Should Businesses Check before Filing?

Contract restrictions, performance records, and requested remedies may affect whether litigation is appropriate and how claims should proceed.

Forum, Arbitration, and Notice Clauses

Review forum-selection, governing-law, arbitration, notice, and cure provisions before filing. An enforceable arbitration clause may require private proceedings. Notice-and-cure provisions may require an opportunity to correct a breach before pursuing specified remedies.

Selecting the Commercial Division by contract does not eliminate its eligibility requirements. Liability limitations may also affect recoverable damages.

Performance Records and Requested Remedies

Compare contracts, amendments, invoices, delivery records, and payment histories against agreed obligations. Preserve relevant correspondence and electronic evidence. Businesses should distinguish monetary damages from injunctive or declaratory relief because the remedy sought may affect pleadings and Commercial Division eligibility.

5. Frequently Asked Questions

How Much Does It Cost to File a Business Lawsuit in Bronx Supreme Court?

The Bronx County Clerk lists $210 for a standard index number, $95 for an RJI, and generally $45 for a motion or cross-motion. Service costs, attorney fees, and other litigation expenses are separate and depend on the proceedings.

What Happens if a Business Ignores a Summons and Complaint?

Under CPLR §§320 and 3012, a defendant generally has 20 days to appear after service or 30 days after completion of specified alternative service methods. A summons with notice involves separate complaint-demand procedures under §3012(b).

Failure to respond may result in default judgment under CPLR §3215 if the plaintiff meets the required conditions. Under §321(a), a corporation generally must appear through an attorney in Supreme Court.

6. Before Filing or Responding

Businesses should assess contract terms, venue, remedies, and procedural deadlines before litigation. A business litigation attorney can review these issues and Commercial Division eligibility before a claim or response is filed.
