Gsa Ai Clause Sets Contract Requirements for Ai Vendors

Domaine d’activité :Intellectual Property / Technology

The GSA AI Clause sets data protection and contractual requirements for covered AI vendors under federal government contracts.

Effective October 19, 2026, GSAR 552.239-7001 applies to certain GSA contracts involving large language models that process government data. AI vendors must assess applicable safeguards, intellectual property rights, and subcontractor obligations. Legal teams should review contract terms and compliance responsibilities before accepting new obligations.

GSA issued GSAR 552.239-7001 through an October 19, 2026 class deviation. It does not cover every federal AI purchase. For government contracts, examine the solicitation and data flows.

Check the Purchased System

The clause covers acquired systems where LLM functionality is material and Government Data enters or comes from the LLM. Review these questions together:

  • Is the agency buying an LLM, chatbot, agent, or LLM-enabled tool?
  • Does the system directly receive or produce Government Data?
  • Does the solicitation or executed agreement incorporate the clause?

Recognize the Exceptions

The clause may be self-deleting for internal systems or incidental LLM functions unless the contracting officer directs otherwise.

  • Distinguish contractor back-office tools from agency-accessible deliverables.
  • Determine whether the LLM feature is material to the purchase.
  • Check other applicable cybersecurity clauses independently.

2. How Does the Clause Treat Government Data and IP?

Contract language separates Government Data, Data Outputs, and contractor Background Data. Definitions affect reuse, licensing, and ownership. Review existing technology licensing agreements before award.

Audit Inputs, Outputs, and Reuse

Map prompts, files, generated results, and storage locations. Do not assume commercial model settings satisfy government restrictions.

  • Identify protected inputs and outputs handled by each provider.
  • Review training, advertising, analytics, and data-reuse settings.
  • Confirm retention, deletion, access, and export capabilities.

Preserve Existing Vendor Rights

Government rights in defined data do not automatically transfer ownership of a vendor's underlying model. Identify rights asset by asset.

AssetContract Review
Government DataUse, access, retention
Data OutputsDefined deliverables and exclusions
Background DataExisting vendor IP and licenses
Third-party modelsSupplier permissions and restrictions

Technical logs are not necessarily Data Outputs. Check the definitions.

3. Which Reporting Deadlines Should Vendors Track?

Security policies alone cannot establish compliance. Teams need incident escalation, written notices, and records supporting each response. Existing data privacy compliance procedures may need changes.

Separate Reporting Triggers

The final clause sets distinct clocks. A provider alert may reach engineering before legal staff, so escalation paths matter.

TriggerTimeframe
Known material violationWithin 72 hours of actual knowledge
Covered Government Data incidentWithin 72 hours of discovery
Planned material changeGenerally 30 calendar days beforehand
Provider model deprecationGenerally within 5 business days of notice

Incident duties may also require daily updates and preservation of records. Verify the reporting channel and exceptions in the contract.

Make Safeguards Verifiable

Assign operational owners before performance begins. Evidence should show how staff and suppliers actually handle Government Data.

  • Test access restrictions, logging, and incident response.
  • Document human oversight and approved configurations.
  • Keep change records and supporting compliance evidence.

4. What Must Prime Contractors Require from Suppliers?

An AI product may depend on several providers. The final clause includes flowdown duties for relevant subcontractors instead of the four separate proposed clauses. Connect supplier review with artificial intelligence law.

Identify Covered Supplier Roles

Examine providers engaged in LLM design, development, deployment, operation, or monitoring when Government Data is involved. The actual flowdown wording determines the duty.

  • Map each provider's function and access to Government Data.
  • Incorporate required terms into relevant subcontracts.
  • Resolve inconsistent confidentiality and retention promises.

Prepare for Provider Changes

Model withdrawal may trigger notice before the prime receives a report. Establish practical escalation.

  • Require timely supplier alerts and incident cooperation.
  • Track model replacements, deprecation, and configuration changes.
  • Plan migration, continuity, and evidence preservation.

5. What Should Attorneys Check before Contract Award?

A clause can require controls that a vendor's standard SaaS terms do not support. Legal, product, security, and sales teams should identify gaps before making an offer. A short written review can prevent commitments that suppliers cannot fulfill.

Review the Contract Package

Compare the solicitation with technical specifications and existing customer terms. Give each unresolved issue an owner.

  • Confirm clause inclusion, scope, and exceptions.
  • Compare data rights against vendor and supplier licenses.
  • Test reporting clocks and change-notification procedures.
  • Document proposed exceptions and technical assumptions.

Raise Conflicts through the Proper Channel

Conflicting commercial terms can create performance risks. When applicable, the federal clause may take precedence; do not rely on boilerplate to override it.

  • Flag conflicting training, deletion, and audit provisions.
  • Check suppliers' unilateral model-change rights.
  • Seek written clarification from the contracting officer.

6. Frequently Asked Questions

Can an AI vendor rely on a commercial LLM API?

Potentially. Its provider terms and technical controls must support the vendor's contract duties, including Government Data restrictions and required flowdowns.

Does FedRAMP authorization satisfy GSAR 552.239-7001?

No. FedRAMP status does not replace the clause's separate data rights, supplier obligations, or notice requirements.

Can GSA add the clause to an existing agreement?

A contracting officer may propose a modification. Review the contract, order, and amendment terms instead of assuming automatic retroactive application.

What happens if a model provider discontinues its service?

The clause may require prompt notice and efforts to maintain access or transition. Review the deprecation terms before promising uninterrupted delivery.
