1. Start with Where the Matter Can Actually Proceed


A lawyer's physical proximity says little about whether that lawyer is suited to the forum controlling the dispute. Jurisdiction, removal rights, contractual forum provisions, and arbitration clauses can shape the case before the merits are reached.



Federal Question, Diversity, and Removal


Federal district courts have jurisdiction over civil actions arising under federal law under 28 U.S.C. § 1331. A corporate dispute based on a federal statute may therefore present a federal question, although the jurisdictional rules of the particular statute still matter.

State-law claims can also enter federal court through diversity jurisdiction. Under 28 U.S.C. § 1332, the analysis generally requires complete diversity between opposing parties and an amount in controversy exceeding $75,000. A corporation is treated as a citizen of its state of incorporation and the state where it has its principal place of business.

A case filed in state court may also be removable when federal jurisdiction exists. Diversity-based removal has additional limits, including the forum-defendant rule in qualifying cases. These issues can make forum analysis an early part of corporate litigation strategy, not a decision to address after substantive motions begin.



The Contract May Point Somewhere Else


A dispute can have meaningful contacts with one state while the contract selects another state's law, a different court, or arbitration.

Governing-law and forum-selection clauses answer different questions. One determines which substantive law may apply; the other addresses where the dispute is heard. Arbitration clauses can alter the process further. Their scope and enforceability should be reviewed before filing because a forum mistake can lead to dismissal, transfer, remand, or compelled arbitration.



2. State of Incorporation Can Change the Corporate-Law Analysis


Where a company operates and where it was incorporated are not interchangeable. Governance disputes often require separate analysis of the incorporation state, the challenged corporate conduct, and any California statute that may apply to a foreign corporation.



California Corporations Code Section 2115 Can Create an Additional Layer


California Corporations Code § 2115 applies specified California corporate-law provisions to certain foreign corporations that satisfy statutory California business and shareholder tests, subject to exceptions.

That does not mean every Delaware corporation doing business in California becomes governed by California corporate law. The analysis depends on the statutory tests, the particular governance issue, applicable exceptions, and the internal-affairs principles relevant to the forum. Incorporation documents and shareholder records can therefore matter as much as the company's operating address.



Direct and Derivative Shareholder Claims Follow Different Paths


A shareholder who claims a personal injury is not necessarily bringing the same claim as a shareholder seeking recovery on behalf of the corporation.

California Corporations Code § 800 imposes specific requirements on derivative actions, including shareholder-status rules and particularized allegations concerning efforts to obtain board action or reasons for not doing so. The statute also permits a security-bond procedure in qualifying circumstances.

That procedural distinction can affect standing, pleading, control of the claim, and early motion practice. A lawyer assessing a shareholder dispute should identify the nature of the claimed injury before treating every fiduciary-duty allegation as the same type of case.



3. M&A Counsel Depends on Whether the Deal Is Still a Deal

Before Closing, the Work Is Primarily Transactional


Transactional counsel may address structure, due diligence, purchase agreements, representations and warranties, indemnification provisions, earnouts, escrow arrangements, regulatory issues, and closing conditions.

Federal and State Securities Rules Can Overlap


A transaction involving an alleged material misstatement can raise federal securities issues and separate California statutory claims.

California Corporations Code § 25401 addresses material misstatements and omissions in specified securities transactions in the state. Section 25501 provides civil liability and defenses for qualifying violations. Federal claims and SEC matters arise under separate federal authority.

The first screening should test legal fit, not simply geographic convenience. A short review of the forum, governing documents, claims, and procedural posture can reveal whether the matter needs general corporate advice or a narrower specialty.



Four Questions to Ask before Making the Choice


  • Which court, agency, or arbitration forum can hear the matter?
  • Which state's law is likely to govern the disputed issue?
  • Is the company negotiating a transaction, responding to a claim, or already in an adversarial proceeding?
  • Does the lawyer regularly handle the procedure likely to control the next stage?

A served complaint, shareholder demand, regulatory inquiry, post-closing notice, or risk that relevant evidence may be lost can make early counsel selection more consequential. In those situations, the lawyer's forum and subject-matter experience usually matters more than the distance between offices.
