Partnership Legal Advice Can Help Determine If You Are a Partner

Partnership legal advice can help determine whether sharing profits without a written agreement created a legal partnership in New York.

Sharing income with a friend does not automatically make you co-owners. The reason for each payment and how you actually ran the business matter. Keep records of transfers, messages, and shared decisions before disagreements arise over profits or control.

1. Can You Be Partners without Signing an Agreement?

You opened a shop with a friend, divided the proceeds, and never discussed legal titles. That does not settle the ownership question. Under Partnership Law § 10, a partnership involves two or more people conducting a business for profit as co-owners. Their actual arrangement may establish one without a signed agreement.

What Shows That You Shared Ownership?

Who decided what to sell, and who absorbed a bad month? Occasional help with sales differs from sharing responsibility for the business.

  • Identify who set prices, hired staff, and approved expenses.
  • Review contributions of funds, equipment, or expertise.
  • Check how the parties handled profits and losses.

What If One Person Registered the Business?

A license in one person’s name tells part of the story, not necessarily the whole story. Check whether the owners instead formed an LLC or another legal entity.

  • Locate registrations, formation records, and tax documents.
  • Compare recorded ownership with daily management.
  • Keep evidence showing what each person understood.

For other entity structures, see business formation.

2. Does Sharing Profits Prove a Partnership?

A transfer labeled “your share” may look like a profit distribution. The recipient may say it was wages or repayment of a loan. Partnership Law § 11 treats receipt of business profits as prima facie evidence of partnership, subject to specific exceptions.

Was It Profit or Gross Revenue?

Compare the amount remaining after expenses with gross sales receipts. Sharing gross returns or owning property together does not, standing alone, create a partnership.

PaymentLegal Significance
Share of profitsPrima facie evidence, subject to statutory exceptions.
Share of gross returnsDoes not establish partnership by itself.
Wages or rentExcluded from the profit-sharing inference.

What Other Payments Need Explanation?

Section 11 also excludes certain debt repayments, loan interest, annuities, and payments for goodwill or other property from the profit-sharing inference. Check why the money changed hands.

  • Match transfers to invoices, payroll, or loan documents.
  • Compare payments with profits and sales figures.
  • Preserve messages explaining the payment arrangement.

Ownership disagreements may involve partnership disputes.

3. Which Records Can Establish an Oral Partnership?

When no agreement was signed, routine business records may help show what the parties intended. In Hammond v. Smith (N.Y. App. Div., 4th Dept., 2017), the court examined intent, shared management, profits and losses, and combined resources. It affirmed dismissal because the evidence did not establish a partnership.

What Do Financial Records Reveal?

A bank transfer shows an amount and date, not why it was sent. Compare each payment with the books and messages to distinguish investment from pay or profit distributions.

  • Collect statements, receipts, and contribution records.
  • Match transfers with tax and accounting documents.
  • Record who paid losses and outstanding expenses.

Who Actually Ran the Business?

Someone called a “co-founder” may have had little say in day-to-day operations. A timeline of hiring, pricing, and supplier decisions can show who actually ran the venture.

  • Save messages approving budgets, prices, and contracts.
  • Identify who controlled accounts and hired employees.
  • Note witnesses familiar with everyday management.

Conflicting business records can also raise business dispute issues.

4. What Duties Apply without a Written Partnership Agreement?

If a partnership existed, the partners may have rights and duties even without paperwork. Partnership Law § 40 provides default rules that yield to agreements, including oral ones. Sections 42 and 43 address access to information and accountability for partnership benefits.

Who Controls Decisions and Profits?

Under § 40, partners generally have equal management rights and profit shares unless they agreed otherwise. Losses ordinarily follow profit shares, subject to statutory exceptions.

  • Check any agreed division of authority or earnings.
  • Separate capital contributions from partner advances.
  • Document how ordinary decisions were approved.

What Information Can a Partner Request?

Section 42 calls for true and full information about partnership affairs on demand. Section 43 requires accounting for certain benefits obtained without the other partners’ consent.

  • Request relevant sales, expense, and distribution records.
  • Identify possible undisclosed personal benefits.
  • Preserve records before formalizing future terms.

For documenting agreed terms, see contract drafting and review.

5. Frequently Asked Questions

Can an unwritten partnership expose someone to business debts?

Yes, if a general partnership existed. Partnership Law § 26 provides rules for partners’ personal liability, with different protections for registered limited liability partnerships.

Does an oral partnership agreement violate the statute of frauds?

Not automatically. Under General Obligations Law § 5-701, a promise that cannot by its terms be performed within one year generally requires a signed writing. An indefinite partnership terminable at will may be treated differently.

Can one partner sign an ordinary supplier agreement for the business?

Partnership Law § 20 generally binds the firm through acts apparently within ordinary business, unless the partner lacked authority and the supplier knew of that limitation.

6. Review an Unwritten Partnership with Sjkp

Friends who built a business together may remember its ownership very differently. SJKP's attorneys can examine payments, messages, and business decisions against the applicable partnership rules.

Contact SJKP with your financial records, communications, and any business filings to discuss whether a partnership existed and what rights may follow.
