Depositing restricted shares does not clean them. The ADR carries the same restriction and the same holding period.

Which means the F-6 route is unavailable to begin with. Form F-6 registers the receipts, not the underlying shares, and its use is conditioned on the deposited securities being freely transferable. A depositary will not accept restricted shares into a Form F-6 program.

Two paths remain. Satisfy the Rule 144 holding period and conditions, remove the legend, and then deposit. Or establish a restricted ADR program, in which the restriction travels with the receipt — the structure used for Rule 144A distributions.

Program level determines the reporting burden. An unsponsored or Level I facility trading over the counter can rely on the Rule 12g3-2(b) exemption. Listing on a U.S. exchange moves the issuer into registration and continuous reporting, with the foreign private issuer analysis that follows.

And an unsponsored program can be created without the issuer's agreement. A depositary may establish one, which produces U.S. trading and U.S. holders an issuer did not choose to have.

1. Can Restricted Securities Be Exchanged for Adrs?


Yes, in circumstances recognized by SEC staff, but the exchange does not erase federal resale limits. Start with how the shares were acquired, how long they were held, and whether the holder is an affiliate.



Trace Restricted Status before the Exchange


  • Confirm whether the underlying shares are restricted securities.
  • Identify when the holder acquired and fully paid for them.
  • Determine whether the holder is or recently was an affiliate.

2. How Does Rule 144 Apply after the Exchange?


SEC staff states that an ADR exchanged for an equivalent number of restricted foreign private issuer securities has the same holding period as the underlying security. Resale still depends on the holder, issuer, and proposed sale.

3. Why Must Form F-6 Be Reviewed Separately?


Rule 144 analysis does not establish Form F-6 eligibility. Depositary shares and deposited securities are distinct securities for Securities Act purposes, so the underlying transaction still needs its own registration or exemption analysis. That review should occur before deposit instructions are finalized.

Rule 144 answers only part of the transaction. Before deposit, confirm that the shares were validly issued, may be transferred, and are not blocked by governing documents or other restrictions.



Review the Underlying Shares


  • Confirm authorization, issuance, class, and share amount.
  • Check shareholder agreements, lockups, legends, and transfer restrictions.
  • Identify approvals required under the issuer's governing law.


Build a Record That Follows the Shares


  • Keep acquisition and payment records.
  • Document the Rule 144 holding-period analysis.
  • Preserve affiliate checks, depositary instructions, and relevant legal opinions.


5. When Can Converted Adrs Be Resold?


Exchange and resale are separate events. Test Rule 144 again when a sale is planned because affiliate status, issuer reporting, public information, and other conditions can change after issuance.

  • Calculate the holding period through the proposed sale date.
  • Confirm current affiliate status and the relevant prior period.
  • Apply public-information, volume, manner-of-sale, and Form 144 rules when required.


Do Not Treat the Exchange As a Shortcut


  • Do not treat ADR issuance as removing resale restrictions.
  • Keep restriction information consistent across holder and depositary records.
  • Consider another available exemption if Rule 144 does not fit.


6. What Liability Can Follow an Improper Exchange or Resale?


A conversion problem does not automatically become a fraud case. Exposure depends on what was offered or sold, which filing or statement is challenged, and each participant's role.

  • An unregistered sale can raise Securities Act issues unless an exemption applies.
  • Rule 10b-5 claims require the elements of the alleged securities fraud.
  • Section 11 may apply to a material defect in a registration statement when its statutory requirements are met.

  • Preserve records if an SEC inquiry or investor claim develops.
  • Coordinate foreign-law issues affecting share validity or transfer.

Can restricted shares be exchanged for ADRs before the Rule 144 holding period ends?

The exchange may be possible, but it does not make the ADR freely tradable. The applicable Rule 144 conditions still must be satisfied before relying on that safe harbor for resale.


Does exchanging restricted foreign shares for ADRs restart the holding period?

SEC staff states that an ADR received for an equivalent number of restricted securities has a holding period identical to the underlying security. Review the transaction facts before relying on that treatment.


Does Form F-6 make restricted underlying shares freely tradable?

No. Form F-6 addresses depositary shares evidenced by ADRs. The Securities Act status of the deposited securities and the holder's resale position require separate analysis.
