Business Bankruptcy Law Firm Reviews Guaranty Claims after Liquidation

业务领域:Corporate

Business bankruptcy law firm guidance explains why liquidation may leave creditors with enforceable claims against an owner.

Before accepting a lender's balance, compare the guarantee agreement with loan statements, amounts recovered from collateral, and any written release. The company's bankruptcy protections do not automatically extend to its guarantor, and state law may determine collection rights.

Contents

1. A Creditor'S Claim Must Identify the Owner'S Separate Obligation

Liquidating a corporation or LLC does not by itself turn its debts into the owner's debts or cancel an obligation the owner already signed. A creditor seeking personal payment must identify an independent legal basis, such as a guaranty, a personal lien, or a statutory assessment.

Identify the Borrower, Guarantor, and Collateral Pledgor

Start with the credit agreement and signature pages. The entity named as borrower generally owes the loan. An owner signing a separate guaranty may also be liable, but a signature solely in a representative capacity does not automatically establish personal liability. A collateral pledgor may risk a specifically pledged asset without agreeing to pay the entire debt. Ownership of company stock alone does not make a shareholder a guarantor, although distinct legal grounds can create exposure.

Compare names, capacities, later amendments, and schedules of secured property. If two owners signed different documents, their duties may differ even for the same loan.

Read Chapter 7 and Chapter 11 Discharge Terms

Under 11 U.S.C. § 727(a)(1), a corporation or LLC does not receive a Chapter 7 discharge. For a Chapter 11 plan, § 1141(d)(3) denies discharge when the plan liquidates substantially all estate property, the debtor does not resume business, and the debtor would be denied Chapter 7 discharge. All three statutory conditions matter. Chapter 7 business bankruptcy explains the company's liquidation framework; it does not resolve a separate owner's guaranty.

Even when a debtor receives a discharge, § 524(e) generally leaves other parties' liability unaffected. The controlling documents for a guarantor remain the guaranty, applicable nonbankruptcy law, and any enforceable release.

2. A Guaranty Demand Must Reflect Recoveries and Contract Limits

The amount shown on the bankruptcy petition may not equal the amount now recoverable from the owner. The lender must account for payments and legally required proceeds credits, then apply the scope and limits of the owner's agreement.

Reconcile Loan Ledgers with Collateral and Estate Payments

Request a ledger running from default through the demand date, including principal, interest, and authorized costs. Match each collateral sale to its gross proceeds, disposition expenses, and net credit; then identify distributions received through the bankruptcy estate. The same recovery should not be claimed twice, and the relevant accounting dates should align.

For personal property collateral, state-enacted UCC §§ 9-610 and 9-615 generally require commercially reasonable dispositions and govern the application of sale proceeds. Real-property foreclosure has different rules. A lender's stated deficiency cannot be evaluated from an auction price alone.

Examine Guaranty Caps, Cross-Collateral Terms, and Releases

Some guaranties cover only a named facility or limited principal amount. Others include future advances, permitted expenses, or several loans secured by shared collateral. Check whether a stated cap includes interest and collection costs, and whether amendments expanded the covered obligations. A corporate dissolution notice is not a signed release of a continuing guaranty.

A creditor may have agreed to reduce, terminate, or settle the owner's obligation. Verify the parties and covered debts in the signed document; a payment plan with the business does not necessarily release the owner. Corporate liquidation concerns the company's wind-down, not automatic cancellation of these contracts.

3. Bankruptcy Collection Restrictions Do Not Automatically Cover Owners

A creditor can face restrictions when seeking payment from the debtor while retaining rights against a separate guarantor. The distinction turns on the debtor named in the petition, court orders, and property targeted for enforcement.

Separate the Automatic Stay from Individual Collection Claims

11 U.S.C. § 362 generally stays specified collection actions against the filing debtor and property of its bankruptcy estate. A company's filing normally does not stay a suit against an owner who has not filed. In limited circumstances, a separate court injunction or another applicable protection may restrict that action.

A Chapter 11 plan governs the debtor's claims; it is not a personal discharge for a guarantor. In Harrington v. Purdue Pharma L.P. (2024), the Supreme Court rejected nonconsensual Chapter 11 plan releases of claims against nondebtors. Review court orders and any actual consent to release.

Distinguish Personal Liens from Deficiency Liability

When an owner pledges a vehicle or equipment but does not undertake a payment guaranty, the creditor's remedy may be limited to the pledged asset. A borrower or guarantor who owes payment may face a deficiency claim after lawful disposition, subject to contract terms and state law.

For nonconsumer transactions governed by UCC Article 9, §§ 9-611 and 9-626 can make sale notice and compliance relevant to deficiency recovery. A secondary obligor who contests compliance may trigger the secured party's burden of proof. Mortgage foreclosure and anti-deficiency protections depend on the property's governing state law, so a UCC sale analysis cannot settle a real-estate lien dispute.

4. Remaining Owner Exposure Requires a Claim-by-Claim Record Review

The correct response to a demand depends on who asserts the claim, how much the creditor has recovered, and whether the obligation arises from contract or statute. A single company balance sheet cannot answer those questions.

Evaluate Trust Fund Taxes Apart from Loan Guarantees

Under 26 U.S.C. § 6672, the IRS may assess a trust fund recovery penalty against someone responsible for collecting or paying over covered taxes who willfully fails to do so. The inquiry examines actual financial authority and conduct, including decisions to pay other creditors after learning of unpaid withholding. An officer's title alone does not establish both statutory elements.

This federal assessment is distinct from a private loan guaranty. Unpaid employer-side payroll taxes also should not simply be treated as the trust fund component. Review IRS notices and assessment periods separately from lender statements, and examine any state tax exposure under the applicable statute.

Match Every Demand to Supporting Records

Assemble the documents before agreeing to a balance or signing a new repayment promise. Compare the demand date to the payoff ledger, the secured-property accounting, and the exact terms of any release.

Preserve the creditor's notices, relevant payment records, and bankruptcy orders. Deadlines for challenging a judgment, deficiency, or tax assessment vary by claim. The business bankruptcy filing documents help establish the company case, but the owner's response must address each personal obligation separately.
