Incorporation Attorney Explains California Registration Vs. Formation

业务领域:Corporate

An incorporation attorney can assess whether an out-of-state corporation must register in California rather than form a new corporation.

California generally requires foreign corporations to register before transacting intrastate business, but not every transaction meets that standard. The filing uses a Statement and Designation by Foreign Corporation instead of new articles of incorporation. Corporate bylaws remain internal, while registration identifies an agent for service of process.

1. Actual Transactions Determine Whether Qualification Is Necessary

A company formed elsewhere does not need to incorporate again merely because it sells to California customers. Corporations Code § 191 focuses on its actual transactions, while § 2105 requires qualification before it conducts intrastate business.

Repeated Local Services and Interstate Sales

Section 191 defines intrastate business as repeated and successive transactions within the state, excluding interstate or foreign commerce. Recurring work at customer sites may require different treatment from products shipped across state lines. Neither a local customer nor an out-of-state headquarters settles the question.

Records Show Where Business Actually Occurs

Management should identify where contracts become binding, where employees perform services, and how often local transactions recur. Contracts, invoices, and work schedules help establish those facts. A mailing address alone cannot establish whether registration is required. The company should review planned operations before entering covered transactions.

2. Section 191 Excludes Certain Activities from Registration

Not every connection to the state creates a qualification duty. Section 191 lists activities that do not constitute intrastate business when they are the only grounds for requiring registration.

Solicitation and Internal Affairs Have Defined Exceptions

The exclusions include bank accounts, board meetings, internal corporate activities, and sales through independent contractors. Soliciting orders through employees or agents can also fall outside the rule when the orders require acceptance elsewhere before becoming binding. These exclusions do not excuse unrelated, repeated local work.

Isolated Transactions and Subsidiaries Require Separate Analysis

An isolated transaction completed within 180 days may fall within § 191 if it is not part of repeated similar transactions. Multiple short contracts do not automatically qualify. Likewise, a parent does not need to register solely because its subsidiary operates locally. The parent's own activities remain relevant.

3. Qualification Preserves the Existing Corporation

Foreign qualification authorizes an existing corporation to transact covered business without creating a second entity. Incorporation instead establishes a new corporation, with separate organizational documents and obligations.

Articles of Incorporation and Incorporators Apply to Formation

Under § 200, filing articles of incorporation creates a new California corporation. When the articles do not name initial directors, eligible signers become incorporators. An existing out-of-state corporation ordinarily files for qualification instead. Forming a subsidiary would be a separate structural choice.

Corporate Bylaws Are Not Qualification Documents

Corporate bylaws govern internal matters such as board meetings and officer authority. They do not replace the required qualification filing, and the ordinary application does not include them. The original organizing documents remain relevant to corporate governance. See corporate bylaws and articles for their distinct functions.

4. Qualification Requires Existing Records and an Eligible Agent

Section 2105 requires a Statement and Designation by Foreign Corporation signed by an officer. It identifies the original jurisdiction, principal office addresses, and agent for service of process, rather than creating another corporation.

Good Standing and Corporate Names Need Review

An authorized official in the formation jurisdiction must certify that the corporation exists and is in good standing. Its name must also meet California requirements. Section 2106 permits an alternate name in limited circumstances, including an approved finding that the conflicting businesses differ and the public is unlikely to be deceived. A trade name alone is insufficient.

The Agent Receives Legal Process

The agent must be a California-resident individual or a corporate agent meeting § 1505. An individual agent needs a qualifying street address. The Secretary of State accepts foreign qualification filings online and issues a certificate when the requirements are met. The certificate does not replace industry licenses. Related multistate issues appear under foreign business registration.

5. Reporting and Tax Duties Continue after Qualification

Qualification does not complete the corporation's continuing obligations. Secretary of State reporting and franchise taxes follow separate rules, and federal tax treatment does not determine state registration requirements.

The First Statement of Information Is Due within 90 Days

Under § 2117, a qualified corporation files an initial Statement of Information within 90 days after its original qualification filing and annually thereafter during the applicable filing period. It reports specified officers, addresses, business activity, and its service agent. Changing the agent or the agent's address requires an updated statement. Missing a required report can result in penalties.

Tax Nexus Is Broader Than Foreign Qualification

The Franchise Tax Board applies a separate doing-business test, including economic activity thresholds. An unqualified corporation can owe state taxes even when § 191 does not require registration. Newly qualified corporations generally receive a first-taxable-year exemption from the $800 minimum franchise tax, but tax on net income may still apply. See state tax compliance.

6. Missing Qualification Can Limit Court Access

Operating without required qualification can have consequences beyond a late filing. Corporations Code § 2203 distinguishes potential monetary penalties from restrictions on maintaining certain California court proceedings.

Daily Penalties Depend on Willful Conduct

Section 2203 provides for a potential $20-per-day penalty for unauthorized intrastate business. Assessment depends on the days of willful conduct, and a court considers circumstances including the corporation's size. Unauthorized transactions can also establish consent to jurisdiction in certain civil actions against the corporation.

Later Compliance Does Not Erase Every Consequence

Under § 2203(c), a corporation may be unable to maintain a proceeding based on unauthorized intrastate business until it qualifies and meets additional conditions. These include filing fees, a $250 penalty, and court-filed receipts showing payment of applicable taxes owed for that period. The provision does not automatically invalidate all contracts. An incorporation attorney can evaluate past transactions and records before a corrective filing.
