Sales Tax Nexus Review of Orders, Returns, and Platform Payouts

业务领域:Finance

Sales tax nexus reviews use underlying sales records because platform payouts may be reduced by fees, refunds, and payment reserves.

This article addresses California sales tax nexus for sellers reconciling direct and marketplace sales. When channel reports disagree, match orders to delivery records and distinguish canceled orders from completed sales and later returns. Keep annual totals and unresolved adjustments visible before deciding whether registration is required.

1. Why Do Order Reports and Platform Payouts Show Different Totals?

A payout shows what a platform transferred after settlement adjustments. It does not necessarily show the value of merchandise sold. Start with transaction records, then explain the differences between those records, settlement statements, and bank deposits.

Build One Record for Each Sale

Use the order number and sales channel together as a unique reference. Connect the invoice, payment, fulfillment record, and any later adjustment. If a marketplace order also appears in an inventory system, identify it as the same transaction rather than counting another sale.

Keep merchandise charges, tax, shipping, discounts, and platform deductions separate. A net-sales column alone can conceal the reason for an adjustment.

Explain Settlement Deductions Separately

Processing fees, commissions, and payment reserves may reduce cash received without reducing the underlying selling price. Do not subtract them from qualifying sales simply because a platform withholds them.

Keep the export date, filters, and original file so another reviewer can reproduce the calculation.

2. Classify Transactions before Comparing the Threshold

Under Revenue and Taxation Code section 6203, economic nexus generally arises when qualifying sales exceed $500,000 in the preceding or current calendar year. Exactly $500,000 does not exceed the threshold. Apply the test to qualifying merchandise sales, rather than company-wide revenue or net deposits.

Confirm Delivery Destinations Across Channels

Include sales of tangible personal property for delivery in California, including qualifying exempt sales such as sales for resale. Combine direct and marketplace sales with sales by related persons within the statutory definition. Internal Revenue Code section 267(b) defines the relevant relationships. This federal cross-reference does not make the sales threshold a federal tax requirement.

Check shipping records when billing and delivery addresses differ. For split shipments, retain item-level amounts and destinations instead of assigning the whole order to the customer's billing state.

Separate Inclusion from Collection Responsibility

Marketplace sales count toward the threshold even when a qualifying facilitator handles tax. A seller whose retail merchandise sales are exclusively facilitated by registered marketplace facilitators generally qualifies for a seller-registration exception. If the seller also makes direct sales and has physical or economic nexus, the facilitator's collection does not remove the seller's separate obligations.

Retain the facilitator's agreement and registration details. A payment processor is not automatically a marketplace facilitator. These channel distinctions belong in a state and local tax review before assigning collection responsibility.

3. Distinguish Cancellations, Returns, and Settlement Adjustments

A canceled order, returned product, and withheld payment describe different events. Preserve their transaction history before deciding whether an adjustment changes qualifying sales, taxable receipts, or only cash received.

Review the underlying event before applying an adjustment.

Verify What a Refund Actually Represents

A refund entry alone does not establish that merchandise was returned. It may reflect a partial price adjustment, shipping reimbursement, or customer-service credit. Identify what changed and retain supporting records. Review contractual refund obligations separately under e-commerce sales law.

Regulation 1655 generally permits returned-merchandise treatment when the full selling price and tax are refunded or credited without requiring a higher-priced replacement purchase. Specific restocking-cost rules may apply. These taxable-receipt rules do not independently determine the nexus effect or timing of a refund. Keep the two calculations separate.

Preserve Both Dates for Cross-Year Returns

Keep the original sale date and the later return or credit date. A January refund linked to a December sale should remain traceable across both years. Do not silently overwrite the original transaction in the source export.

If an adjustment could change a conclusion that the threshold was exceeded, flag its amount, dates, and legal treatment for review. A lower net balance after refunds does not automatically establish that an existing registration obligation ended.

4. Turn the Reconciliation into a Registration Review File

Explain material differences and identify facts outside the spreadsheet that could affect registration.

Compare Each Calendar Year Independently

For a November 2026 review, prepare a complete 2025 total and a separate 2026 year-to-date total. Test each independently. Do not combine the years or use a rolling 12-month period. Settlement dates do not necessarily establish sale dates.

Inventory held in the state may create physical nexus below the economic threshold, subject to applicable registration exceptions. Preserve warehouse locations, ownership records, and storage dates. The sales total cannot resolve that separate question.

Document Unresolved Items before Relying on the Total

Prepare a concise review package containing:

  • Transaction exports and a schedule explaining differences from payouts.
  • Separate annual totals with delivery, channel, and related-person classifications.
  • Linked cancellation, return, refund, and credit records.
  • Inventory records and facilitator documentation.
  • Unresolved adjustments, their amounts, and the conclusions they could affect.

A state tax compliance review should distinguish bookkeeping corrections from legal classification questions. Seek a documented legal assessment when unresolved items could change registration or collection duties.
