Assignment and Assumption: What Creates Liability in New York?

The assignment and assumption agreement controls what the parties agreed to transfer. It does not control what the law transfers anyway. Successor liability operates outside the document. New York applies de facto merger broadly, and continuity of ownership is the element that matters most — a seller who takes buyer equity as consideration has moved toward the result the structure was meant to avoid. Continuity of business, retained management, and the seller's dissolution point the same direction. No drafting in the assignment agreement reaches this. Creditors have their own claim. Under New York's fraudulent conveyance provisions, a transfer for less than reasonably equivalent value that leaves the seller unable to pay can be unwound entirely. The buyer's good faith matters, but it is not the whole test. And the transferor is not released. Assumption makes the buyer answerable. It does not end the seller's liability on those contracts — that requires a novation, which requires each counterparty's agreement, obtained one at a time. Which contracts move at all is a separate question. Anti-assignment clauses vary in effect: some create a breach while the transfer still takes effect, others void the transfer outright. Permits and licenses frequently do not transfer under any language.
