Consent is not always required. Rights are generally assignable without permission. Some things do not transfer under any language. Permits, licenses, and regulatory approvals frequently require reapplication rather than assignment, on their own timelines. And assumption does not release the seller. That requires a novation from each counterparty, obtained individually.
