Tax Extension Deadline in California: FTB Assessment Limits

Practice Area:Finance
Jurisdiction:California

The tax extension deadline in California does not extend the payment deadline or determine when the FTB loses its authority to assess tax.

The Franchise Tax Board (FTB) generally has four years to propose additional tax, subject to statutory exceptions. Unfiled or fraudulent returns may remain assessable indefinitely. Separate rules generally allow 20 years to collect unpaid liabilities, subject to statutory adjustments.

1. When Does the FTB Assessment Period Begin?

Under Revenue and Taxation Code (R&TC) Section 19057, the ordinary assessment period generally runs for four years from the original return due date or the filing date, whichever is later. The FTB ordinarily must mail a Notice of Proposed Assessment (NPA) within that period. The administrative dispute need not be resolved before the period expires.

Four-Year, Six-Year, and Unlimited Assessment Periods

Filing CircumstancesGeneral Assessment Period

Fraudulent return intended to evade taxNo ordinary time limit

R&TC Section 19058 governs qualifying substantial income omissions. Section 19087 permits assessment without the ordinary time restriction for certain fraudulent or unfiled returns. Federal adjustments and other statutory exceptions may produce different deadlines.

Does Filing a Late Return Start the Clock?

Hypothetical Example for Educational Purposes Only

A taxpayer misses the October 15, 2026, extended deadline for a required 2025 individual return but files a valid return in December 2026. The ordinary four-year assessment period generally begins when that late return is filed.

Leaving the return unfiled may prevent the ordinary period from beginning. Filing late does not eliminate accrued penalties or statutory exceptions.

2. When Do Extended or Unlimited Assessment Periods Apply?

Under Section 19058, a qualifying omission exceeding 25% of reported gross income can trigger a six-year assessment period. The calculation depends on the income category and applicable disclosure rules.

Substantial Omissions and Overstated Tax Basis

For qualifying business sales or services, gross income is generally measured before deducting the cost of those sales or services. Overstating unrecovered cost or another tax basis can also constitute an omission.

Adequately disclosed amounts may be excluded from certain omission calculations. The disclosure exception does not apply to basis overstatements in the same manner.

Fraudulent Returns and Federal Adjustments

A fraudulent return intended to evade tax or failure to file a required return can trigger unlimited assessment authority under Section 19087.

Under R&TC Section 18622, taxpayers generally must report qualifying final federal adjustments within six months. Special California assessment rules apply depending on the adjustment and reporting history.

3. How Long Can the FTB Collect Unpaid Taxes?

R&TC Section 19255 generally establishes a 20-year collection period measured from when the latest qualifying liability for a tax year becomes due and payable. The original filing deadline does not necessarily determine the collection expiration date.

Later Liabilities and a New Starting Date

Later qualifying assessments or collection-related charges can establish a new starting point. Certain collection cost recovery fees, lien fees, and installment agreement fees may affect the calculation.

This differs from federal collection law. Under Internal Revenue Code Section 6502, the IRS generally has 10 years from assessment to collect federal tax, subject to applicable adjustments. A federal deadline does not extinguish California tax debt.

Events That Suspend the Collection Period

Statutory suspensions can extend the collection expiration date without creating a new starting point. Relevant circumstances may include:

  • Bankruptcy proceedings affecting collection.
  • Qualifying installment agreements.
  • Pending collection-related litigation.
  • Certain federally declared disasters.
  • Specified military service or other statutory restrictions.

The effect depends on the governing provision and relevant dates. Taxpayers considering bankruptcy and insolvency must also distinguish collection restrictions from tax debt discharge.

Collection after an Assessment Becomes Final

Once a liability becomes enforceable, the FTB may record tax liens, levy bank accounts, or garnish wages, subject to applicable requirements.

Determining whether collection authority has expired requires reviewing assessment dates, later liabilities, and statutory suspensions. The age of the tax year alone is insufficient.

4. How Do Filing Extensions and Penalties Affect Tax Liabilities?

For 2025 individual income tax returns, California's ordinary payment deadline was April 15, 2026, while the automatic filing extension runs through October 15, 2026. The extension generally postpones filing, not payment.

Late-Filing and Late-Payment Penalties

Under Section 19131, the ordinary late-filing penalty is 5% of unpaid tax per month or partial month, up to 25%. For qualifying 2025 individual returns filed more than 60 days late, the minimum is generally the lesser of $135 or 100% of the applicable unpaid balance.

Section 19132 generally imposes an initial 5% late-payment penalty plus 0.5% monthly, subject to a 25% maximum. Applicable coordination rules affect overlapping penalties.

Penalty Relief and Business Extensions

Reasonable-cause relief may apply when statutory requirements are satisfied. Under Section 19132.5, eligible individuals may request one-time abatement for qualifying penalties for tax years beginning on or after January 1, 2022.

Eligibility depends on filing, payment, and prior abatement conditions. The individual provision excludes corporations, partnerships, trusts, and estates.

Business extensions vary by classification. Form 100 generally receives seven months, while Form 100S receives six months. Partnership and LLC deadlines depend on classification and ownership. Suspended or forfeited entities may face restrictions.

Partnerships and S corporations may incur partner- or shareholder-based filing penalties. Minimum franchise taxes and LLC fees require separate analysis under applicable small business tax obligations.

5. How Can Taxpayers Challenge an FTB Assessment?

A limitations defense may be raised through the applicable administrative process. The available procedure depends on the notice, filing history, statutory exceptions, and assessment status.

The 60-Day Protest Deadline

Under Section 19041, taxpayers generally have 60 days from the NPA date to file a protest. An NPA proposes a liability rather than serving as an ordinary collection bill.

A protest may challenge income adjustments, penalties, or an expired assessment period. Timely filing preserves administrative review rights but does not automatically stop interest.

The 30-Day OTA Appeal Period

After a protest, the FTB may issue a Notice of Action (NOA). Taxpayers generally have 30 days from the NOA date to appeal to the California Office of Tax Appeals (OTA).

Missing an administrative deadline may restrict subsequent remedies. Applicable notice dates and procedural requirements must be verified.

Records Needed for a Limitations Defense

Relevant documentation includes:

  • Original and amended returns with filing confirmations.
  • NPAs, NOAs, and FTB account records.
  • Payment and collection histories.
  • Federal audit changes and California reporting records.
  • Bankruptcy, installment agreement, and litigation records.

These records establish filing dates, assessment history, and possible suspension events. Federal adjustments may require coordinated review of state proceedings and tax audit representation.

A limitations challenge requires examining statutory exceptions and notice dates before the applicable protest deadline expires.

6. Frequently Asked Questions about FTB Limitations

Assessment and collection deadlines operate separately. Federal adjustments and missed administrative deadlines may also change the available procedures.

It can. Section 18622 generally requires reporting qualifying final federal adjustments within six months. Special assessment periods may apply depending on whether the changes were reported on time.

In certain circumstances, yes. A later qualifying liability may establish a new starting date, while statutory suspensions may extend an existing period. The liability history determines the applicable expiration date.

Available remedies depend on whether the assessment is final. Some taxpayers may pursue payment followed by a timely refund claim and authorized proceedings. Section 19306 establishes separate refund-claim deadlines.
