Where the provider is an individual, a written contract is required. The obligation sits with the party paying, and it applies whether or not anyone asked for a contract. Intellectual property does not transfer by default. Work made for hire does not apply to independent contractors outside defined categories. Absent an express written assignment, the contractor owns what they created — regardless of who paid for it. This is the most common gap we see in otherwise careful agreements. And nothing the contractor produces is privileged. Where the work involves assessing a problem rather than performing a task, that assessment is discoverable. Whether it should be structured through counsel is a decision made at engagement, not after the findings arrive.
