International Ipo Specialist Law Firm: How Cross-Border Issuers Select Counsel

A foreign issuer preparing a U.S. .isting is not choosing foreign private issuer status; the status is determined by test. Under Rules 405 and 3b-4, a foreign issuer loses it where more than 50% of its voting securities are held by U.S. .esidents and any one of three U.S.-contact conditions is met — a majority of officers or directors who are U.S. .itizens or residents, more than 50% of assets located in the United States, or a business administered principally in the United States. The test is reapplied as of the last business day of the second fiscal quarter each year, so status can be lost after listing, which forces a change to domestic forms. What the status provides is concrete: an annual report on Form 20-F rather than Forms 10-K and 10-Q, no quarterly reporting, exemption from the proxy rules and from Regulation FD, exemption from Section 16 reporting for insiders, and financial statements under IFRS without reconciliation to U.S. GAAP. The exchanges also permit a foreign private issuer to follow home-country governance practice, provided the differences from the applicable U.S. .tandards are disclosed. The corporate vehicle matters because it determines what is being registered. A holding company in one jurisdiction listing ordinary shares, and the same group listing through American depositary shares, involve different filings — the latter requiring a Form F-6 registration for the depositary receipts alongside the offering registration. Liability exposure follows from the registration statement itself. Under Section 11 the issuer is strictly liable for a material misstatement, and the directors, underwriters and experts have a due diligence defense the issuer does not. That allocation, rather than any general litigation capability, is what shapes how the diligence record is built before the registration statement is filed. Legal executives should evaluate whether candidate firms maintain internal securities litigation defense capabilities or outsource post-IPO class-action risk management.

Why Hire an International M&A Representations and Warranties Attorney

A survival period is a contractual limitation, and whether it holds depends on the governing law. Under 10 Del. C. § 8106(c) the parties may shorten or extend the period for a claim by express agreement, which is why an eighteen-month survival clause is enforceable in a Delaware-governed agreement; a civil-law forum may treat a shorter period as unenforceable against a mandatory prescription rule. A materiality scrape changes the arithmetic rather than the drafting. It reads materiality qualifiers out of the representations for indemnification purposes while leaving them in for closing conditions, so the same word carries two meanings in one agreement and the scrape has to say which representations it reaches. Extracontractual claims are the gap that choice of law does not close. A non-reliance provision is what prevents a buyer from pleading fraud on statements outside the agreement, and Delaware enforces it only where it is clear and mutual, as Abry Partners v. F&W Acquisition (2006) sets out. Several civil-law systems impose pre-contractual disclosure duties that an entire-agreement clause cannot waive, so the local overlay is checked before the indemnity package is priced.
