A Korean parent's rehabilitation proceeding has no automatic effect in the United States. The foreign representative must seek recognition under Chapter 15, and the automatic stay under § 1520 reaches US assets only once the case is recognized as a foreign main proceeding — a determination that turns on the debtor's center of main interests. Interim relief under § 1519 is what covers the gap before recognition, which is why the sequence matters more than the substantive plan at the outset. Officer exposure in that period is narrower than it is usually described, and it does not run where the heading suggests. Directors' duties remain owed to the corporation; creditors of an insolvent corporation may pursue those claims derivatively but have no direct fiduciary claim (North American Catholic Educational Programme Foundation v. Gheewalla, 930 A.2d 92 (Del. 2007)). The personal liabilities that do attach are specific and survive a discharge: unremitted payroll taxes under 26 U.S.C. § 6672, which reach a responsible person for the full amount, and unpaid wages, for which Business Corporation Law § 630 imposes liability on the ten largest shareholders of a New York corporation — often the officers of a closely held subsidiary. Asset sales and intercompany transfers made while the group is insolvent are the exposure the page should flag rather than treat as a solution. A transfer for less than reasonably equivalent value within the look-back period is avoidable under § 548 and under New York's Uniform Voidable Transactions Act, and a transfer to an insider can be recovered as a preference within one year. Documenting value at the time of the transaction, rather than afterward, is what distinguishes a defensible restructuring step from an avoidable one.

Well-structured project finance legal framework documents help allocate risk among sponsors, lenders, contractors, and investors while supporting long-term project stability. From my experience, disputes often arise not because financing is unavailable but because the project finance legal framework leaves key responsibilities or enforcement rights unclear.
