New York requires a written engagement letter. That is not a best practice — it is a rule. Under Part 1215, a firm expecting to bill more than $3,000 must provide one, stating the scope of the work, the fee, the billing arrangement, and your right to have a fee dispute resolved through the state's arbitration program. If you have not received one, you have not been engaged on terms either side can rely on. What actually drives the number is not the purchase price. It is the volume of diligence, the number of counterparties whose consent you need, whether regulatory approvals are required, and how many times the structure changes before signing. A modest deal with fragmented ownership and a licensing issue costs more than a larger clean one. Budget for the deal that does not close. Most of the fee in an M&A engagement is incurred before signing. A transaction that dies in diligence — which is a good outcome when diligence finds something — still costs most of what a completed one would. On success fees, ask the obvious question. A lawyer paid only on closing has a financial interest in the deal closing. Part of what you are paying for is candid advice about walking away. Where the fee is equity rather than cash, New York's rules on business transactions with clients apply, requiring written disclosure and a real opportunity to consult independent counsel.
