Trade Receivables Recovery Litigation Attorney Guides Factoring Costs

A sale of accounts is a secured transaction under the UCC. Article 9 applies to the sale as well as to a pledge under § 9-109(a)(3), so the factor’s interest is perfected by filing a financing statement, and a contractual prohibition on assignment is ineffective against it under § 9-406(d). Notification decides where payment must go. Once the account debtor receives an authenticated notification under § 9-406(a) that the amount is assigned and payment is to be made to the assignee, payment to the original seller no longer discharges the obligation. A debtor that keeps paying the seller after notice remains liable to the factor for the same amount. The defenses travel with the account. Under § 9-404 the assignee takes subject to the terms of the contract and to defenses arising from it, so a quality or short-shipment claim is available against the factor as it was against the seller. Whether the factoring was with or without recourse then determines who bears that loss between the factor and the seller, which is the question the suit actually resolves.
