Business Name Vs. Trademark: Legal Protection, Screening & Registration

Checking that a name is available with the New York Department of State answers one question only: whether the Department will accept the filing. Its review compares the proposed name against others on its own index. It does not look at trademarks, and it does not look at businesses that never registered in New York. Screening a name properly takes three passes. The state index tells you whether the entity filing will clear. The USPTO register tells you whether someone holds federal rights in the same or a confusingly similar mark for related goods or services — which is a question of similarity in sound, appearance, and meaning, not identical spelling. And a search of ordinary commercial sources tells you whether a business is already using the name without having registered it anywhere, since common-law rights arise from use alone in the area where the use occurs. The three filings people tend to conflate do different work. Entity registration creates the company and reserves nothing beyond the Department's index. A Certificate of Assumed Name under General Business Law § 130 lets the company trade under a different name. Federal registration under the Lanham Act is the only one of the three that gives rights enforceable against others across the country. The practical consequence is one of sequence. A rejected filing is corrected by picking another name. A trademark demand arrives after the signage, packaging, and domain are paid for, and the business has to decide between rebranding and litigating. Both outcomes come from the same underlying choice, made at different times.
