How a General Counsel Law Firm Handles Retainer Renewals

Área de práctica:Corporate

General counsel law firm agreements should specify renewal notice, fee changes, service limits, and termination rights.

A California business may face new billing obligations when an outside legal services agreement renews. Contract terms generally control renewal, but attorney fees, conflicts, and termination duties remain subject to professional conduct rules. An expired retainer also may not end representation in pending matters.

1. What Should a Company Check before Renewing Its General Counsel Agreement?

An outside general counsel agreement may renew automatically even when the company's legal needs have changed. Review the existing contract, proposed revisions, and active assignments before the renewal deadline.

Verify Renewal Dates and Notice Requirements

Check when the agreement expires, whether renewal is automatic, and how either party must give notice. Some contracts require written notice a specified number of days before expiration. Others require both parties to approve another term.

California has no universal renewal-notice deadline for every commercial legal services engagement. The agreement generally determines the applicable procedure. Confirm whether revised rates or service conditions require separate acceptance rather than assuming the original terms continue.

Update the Scope of Continuing Representation

Compare the engagement letter with work performed during the current term. Routine contract reviews, employment advice, litigation, and major acquisitions may require different billing arrangements.

A company receiving general counsel services should define which matters remain covered. Specify who may request work, authorize expenses, and approve assignments outside the agreed scope. Also address pending requests that may continue after the renewal date.

2. How Should Retainer Fees and Billing Limits Be Updated?

Monthly payments do not always represent the same type of legal fee. The agreement should identify what the payment purchases, when the firm earns it, and whether unused amounts must be returned.

Distinguish True Retainers from Advance Fees

California Rule of Professional Conduct 1.5 distinguishes a true retainer, paid solely for an attorney's availability, from fees for legal services. A nonrefundable true retainer requires written disclosure and client agreement.

Under Rule 1.15, advance fees generally require trust-account handling, subject to exceptions for qualifying flat fees. Rule 1.16(e) requires refunding unearned advance payments upon termination.

Business and Professions Code § 6148(d)(4) exempts corporate clients from certain written fee-agreement requirements, but professional fee obligations still apply.

Set Limits on Additional Work and Expenses

A fixed monthly payment may cover routine advice while excluding litigation, investigations, or major transactions. Define when the firm may charge separately and whether it must obtain approval before beginning additional work.

Set spending thresholds, reporting intervals, and rules for third-party expenses. If the original agreement leaves those obligations unclear, contract drafting and review can document the changes before they take effect.

3. What Professional Duties Should Be Reassessed at Renewal?

Renewal does not remove an attorney's ongoing ethical obligations. Changes in ownership, leadership, or business relationships may require a fresh conflict review and updated instructions from the corporate client.

Identify New Conflicts and Confirm Client Identity

California Rule 1.7 restricts representation involving current-client conflicts or significant risks of materially limited representation. Certain conflicts permit informed written consent, while others prohibit continued representation despite consent.

Disclose new affiliates, ownership changes, and disputes involving parties the firm also represents. Under Rule 1.13, the company is the client, not automatically its directors, officers, or shareholders. An executive seeking personal advice may need separate representation.

Update Confidentiality and Reporting Authority

Rule 1.6 and Business and Professions Code § 6068(e) protect confidential client information, subject to limited exceptions. A renewal agreement should identify authorized contacts, reporting responsibilities, and secure communication procedures without attempting to waive these duties.

After a leadership change, the company should confirm who may instruct the attorneys and receive privileged communications on its behalf. Businesses using corporate legal advisory services should also update approval authority for contracts, settlements, and other significant decisions.

4. What Happens When the Company Does Not Renew?

Expiration of a recurring fee arrangement does not necessarily resolve every active legal assignment. The business must distinguish the end of its payment arrangement from the termination of representation in individual matters.

Confirm Active Matters and Withdrawal Requirements

California Rule 1.16 requires attorneys ending representation to take reasonable steps to avoid foreseeable prejudice. When applicable tribunal rules require permission to withdraw, the attorney cannot terminate representation before obtaining it.

Before changing firms, the company should:

  • List pending matters, filing deadlines, and responsible attorneys.
  • Confirm whether substitution or court approval is necessary.
  • Request client materials and arrange secure transfers.
  • Identify unfinished assignments and outstanding invoices.
  • Document who will handle communications during the transition.

A written handoff should identify the attorney responsible for each active deadline.

Reconcile Outstanding Fees and Client Property

Rule 1.16(e) generally requires prompt release of client materials upon request, subject to applicable legal restrictions. The obligation covers materials reasonably necessary to the representation, even when the client has not paid for them.

The firm must also promptly refund unearned advance fees and unincurred advance expenses. A qualifying true retainer receives different treatment. Request a final accounting separating earned charges, outstanding invoices, and refundable balances.

5. Review Your General Counsel Renewal with Sjkp

Before accepting a renewed engagement agreement, businesses should identify any changes that could affect legal costs or ongoing representation.

SJKP can review the existing agreement alongside proposed renewal terms, identify provisions that warrant negotiation, and help clarify responsibilities before the next contract period begins.
