Most deals slip on approvals, not on price. Corporate approvals come first. A sale of substantially all assets requires shareholder approval under New York law, not merely board approval — and what counts as "substantially all" is a judgment made early, because getting it wrong means the transaction can be challenged afterward. In a merger, dissenting shareholders may demand appraisal and be paid in cash, an obligation outside the deal consideration. Third-party consents set the timeline. Every material contract requiring consent gives that counterparty leverage it did not have before signing. Landlords, lenders, and anchor customers know this. Consent work that begins after signing is consent work that delays closing. Some approvals cannot be accelerated. Licenses and permits frequently do not transfer; they require reapplication on the agency's schedule. Where the business cannot operate without one, that timeline is the closing timeline. And two filings determine who bears old liabilities. The bulk sale notice to the Department of Taxation and Finance must precede closing, or the seller's unpaid sales tax becomes the buyer's. Where an escrow holds back for that exposure, when it releases should be tied to the tax clearance, not to a calendar date. On tax, the allocation is federal and it is adversarial. Buyer and seller want the purchase price allocated differently, and both must report it consistently. Leaving it to the accountants after closing means it was never negotiated.
