The certificate of incorporation — what many people call articles of incorporation — is a short document that does less than founders expect. It contains the minimum: the corporate name, the county of the office, the number of authorized shares, and the address to which the Secretary of State forwards service of process. Governance lives in the bylaws; ownership arrangements live in a shareholders' agreement. The certificate is not where those questions are answered. Two provisions deserve attention.Authorized shares. Set the number too low and every subsequent issuance requires amending the certificate, with the shareholder approval that entails. Set it high and the initial filing fee rises, since New York calculates it partly on authorized shares. The number is easier to get right at formation than to change later. The service address. Service on a New York corporation goes to the Secretary of State, who mails it to whatever address is on file. If that address is stale, the summons arrives somewhere you no longer are, and the first you learn of the case is a default judgment. Keeping it current is a filing, not a formality.
