An MSA works only if it says what happens when it conflicts with the SOW. Order of precedence is the clause that gets litigated. Without it, a statement of work signed later can be argued to override the liability cap, the indemnity, or the IP assignment negotiated in the master agreement — terms the SOW drafters never intended to touch. The workable approach is to split it: the SOW controls scope, schedule, and price; the MSA controls everything legal, and a SOW may modify those terms only by express reference. Liability has two layers, and the exceptions matter more than the cap. Consequential damages are typically excluded, and aggregate liability is typically capped at fees paid over some prior period. What sits outside that cap — indemnification obligations, breach of confidentiality, IP infringement, willful misconduct — is where the real negotiation happens. IP does not transfer by default. A contractor who develops something for you retains the copyright absent an express written assignment, regardless of who paid. This belongs in the MSA rather than in each SOW, or you will negotiate it repeatedly. Termination runs on two tracks. Ending the MSA and ending an active SOW are different acts with different consequences. What happens to work in progress, and what is owed for it, should not be left to be worked out at the moment the relationship is already breaking down.

New York's mandatory greenhouse gas reporting rule, 6 NYCRR Part 253, took effect on December 25, 2025. The first report is not due until June 1, 2027, and it covers calendar year 2026 — so the obligation that exists now is to have the measurement and recordkeeping in place for emissions already being generated. Six categories report. Facilities emitting 10,000 metric tons CO₂e or more in a reporting year; suppliers of natural gas, liquid fuels, LNG, CNG, and coal; waste transporters exporting 10,000 metric tons CO₂e or more; electric power entities, including generators, importers, exporters, and load-serving entities; suppliers of agricultural lime and fertilizer; and anaerobic digestion and liquid waste operations at or above the same 10,000-ton threshold. Verification is a separate tier. A reporter above 25,000 metric tons CO₂e is a large emissions source and must obtain a third-party verification statement, with scaled thresholds applying to fuel suppliers. Verification also begins with emissions year 2026, with the statement due December 1, 2027, and annually by August 10 from 2029. Two categories tend to be overlooked. Agricultural lime and fertilizer suppliers, and waste transporters, are covered even though neither operates a stationary emitting facility in the ordinary sense. An entity in either group should determine its status well before the 2026 data is needed, because the reporting year is already running.
