Korean Company Overseas Stock Exchange Listing Legal Counsel: Strategic Sec Roadmap

A Korean issuer listing in the United States registers the offering on Form F-1 and, once listed, reports on Form 20-F rather than Forms 10-K and 10-Q, furnishing interim information on Form 6-K. Foreign private issuer status also carries exemption from the proxy rules, from Regulation FD, and from Section 16 insider reporting. On accounting, the position runs opposite to what is often assumed. Financial statements prepared under IFRS as issued by the IASB are accepted without reconciliation to U.S. GAAP, a requirement the SEC eliminated in 2007. What matters for a Korean issuer is whether the audit report states compliance with IFRS as issued by the IASB; where another national basis is used, reconciliation becomes necessary. Exchange governance works the same way. Both NYSE and Nasdaq permit a foreign private issuer to follow home-country practice in place of most U.S. .overnance requirements, provided the differences are disclosed. The auditor must be registered with the PCAOB and subject to its inspection. Two points on process. The SEC comment process runs on the registration statement and is the issuer’s; the FINRA filing under Rule 5110 is the underwriter’s, covering underwriting terms and compensation rather than the issuer’s disclosure. And liability allocation under Section 11 is strict as to the issuer, while directors, underwriters and experts have a due diligence defense — which is what shapes how the diligence record is built before filing.

Long Island Real Estate Buyers Should Verify Title before Closing

Long Island real estate buyers should review deeds, liens, and easements before closing to identify possible title problems. A recorded deed does not, by itself, establish that title is free from competing claims or encumbrances. County land records and municipal permit files answer different questions about ownership and permitted use. Comparing those records with the title report and purchase contract can reveal issues to address before closing.
