CFIUS applies to acquisitions by foreign persons, not to exits by them. A foreign shareholder selling to a US buyer is generally outside its jurisdiction; the review is triggered where the incoming party is foreign and the target holds critical technology, critical infrastructure or sensitive personal data. The withholding obligations are where foreign-seller exits most often go wrong, and there are two separate regimes. Where the target is a United States real property holding corporation, § 1445 requires the buyer to withhold 15 percent of the gross price. Where the interest sold is a partnership or LLC interest and the gain would be effectively connected income under § 864(c)(8), § 1446(f) requires the transferee to withhold 10 percent — a provision frequently overlooked in private equity exits because it has nothing to do with real property. In both cases the buyer bears the liability for failing to withhold, and the relief comes from a certification obtained before closing rather than from a later analysis. Treaty capital gains articles generally allocate gain to the seller’s country of residence, but that allocation does not extend to US real property interests.

Long Island estate planning may call for a will, a living trust, or both, depending on asset ownership and inheritance goals. Deeds, account beneficiaries, and a surviving spouse's legal rights can change who inherits. The right plan starts with identifying what you own and how each asset will pass under New York law.
