Cross Border M&A Advisory Law Firm and Foreign Investment Approvals

In a cross-border acquisition the filings usually set the timetable, not the negotiation. The HSR form was overhauled by a final rule effective February 10, 2025, and now requires transaction rationale documents, overlapping business descriptions, and prior acquisition history — weeks of preparation rather than days. The waiting period remains 30 days, or 15 for a cash tender offer or bankruptcy sale. A foreign buyer may separately face a mandatory CFIUS filing, due at least 30 days before closing, and foreign merger control regimes run their own suspensory periods. Closing before those expire is gun-jumping regardless of US clearance. On tax, where the seller is a foreign person and the target is a United States real property holding corporation, § 1445 requires the buyer to withhold 15 percent of the gross purchase price, and a buyer that fails to withhold becomes liable for the tax. A non-foreign affidavit from the seller relieves the obligation and belongs in the closing deliverables.
