Partnership Disputes on Long Island Call for Contract Review

Domaine d’activité :Corporate

A partnership dispute on Long Island requires reviewing the agreement, financial records, and each partner's authority before choosing a remedy.

Disagreements over profit sharing, management decisions, or access to accounts may raise contract and fiduciary duty issues. The available options depend on the business structure, governing documents, and any mediation or arbitration clause. Early review can clarify whether negotiation, an accounting, or court action is appropriate.

Contents

1. Which Agreement Terms Control a Partnership Dispute?

Start with the entity type. A general partnership, limited partnership, and LLC do not share identical legal rules. For general partnerships, Partnership Law Section 40 supplies default rights unless the partners agree otherwise. Check the agreement before treating an ownership percentage as a voting right.

Voting Rights, Profits, and Capital

A dispute over one payment often reveals a broader disagreement about authority. Compare the contract with how the partners have operated:

  • Who approves major expenses, loans, and new partners?
  • How are profits and losses shared?
  • Are capital contributions repayable before profits are divided?

Without a different agreement, Section 40 generally gives general partners equal management rights and profit shares, while requiring repayment of contributions under its stated rules.

What If the Agreement Is Missing?

A missing written agreement does not necessarily mean there is no general partnership. Under Section 11, profit sharing can be evidence of partnership status, but the statute recognizes exceptions.

  • Keep formation messages, tax filings, and payment records.
  • Identify who negotiated contracts and made business decisions.

2. When Does a Partner'S Conduct Create a Legal Claim?

Partners can disagree about strategy without breaching a legal duty. The question is what a partner promised, controlled, or received. A breach of contract claim requires analysis distinct from a claim involving fiduciary obligations.

Broken Promises and Undisclosed Benefits

Partnership Law Section 43 requires general partners to account for certain profits obtained without the others' consent through partnership transactions or property. Follow the transactions, not just the accusations.

Personal use of fundsTransfers, invoicesWas consent required?

For fiduciary disputes, identify the transaction, the legal duty, and the claimed harm.

Books, Records, and an Accounting

Section 41 permits general partners to inspect and copy partnership books, subject to their agreement. Section 44 recognizes a formal accounting in specified situations, including wrongful exclusion or circumstances making one just and reasonable.

  • Make a dated request identifying the records sought.
  • Preserve copies of relevant communications lawfully.

A missing statement raises a question; it does not, by itself, prove diverted funds.

3. How Can the Business Continue during a Dispute?

Closing the business may not be what either partner wants. Before choosing a process, identify pressing decisions: payroll, supplier payments, bank access, and customer commitments. Then review dispute-resolution clauses and who can authorize temporary arrangements.

Negotiation, Mediation, or Arbitration

These processes give the parties different levels of control:

  • Negotiation: Agree on temporary approvals or a proposed exit.
  • Mediation: Ask a neutral to help the parties reach a voluntary agreement.
  • Arbitration: Submit covered claims when an enforceable agreement or later consent permits it.

Check arbitration and mediation clauses before filing elsewhere.

When Court Action May Be Needed

Litigation may become necessary if negotiations stall while business assets remain at risk. Emergency court relief requires specific legal grounds and evidence; a serious accusation alone is insufficient.

  • Preserve transaction histories and meeting records.
  • Record disputed decisions with dates and participants.

Do not change account access or remove company property without checking legal authority.

4. What Happens If the Partners Separate?

Dissolution does not immediately end the partnership business; winding up addresses its remaining affairs. Partnership Law Sections 62 and 63 identify events and court grounds for dissolution. Outstanding business obligations still need attention.

Dissolution and Outstanding Debts

Section 62 distinguishes partnerships at will from those formed for a fixed term or undertaking. A partner who dissolves contrary to an agreement may face a damages claim.

  • List debts, receivables, guarantees, and pending contracts.
  • Determine who may finish existing transactions.
  • Check the agreement before distributing remaining assets.

Buyouts and Personal Exposure

A disagreement does not automatically entitle either partner to a buyout. Review contractual valuation provisions and financial statements before proposing a price.

  • Check disputed expenses, capital accounts, and goodwill.
  • Separate entity debts from personal guarantees.

Complex commercial litigation may involve accounts or dissolution. Section 26 addresses general partners' liability and separate protections and exceptions for registered LLPs.

5. Frequently Asked Questions

Can someone be a partner without appearing on business registration records?

Possibly. Under Section 11, the parties' conduct and profit-sharing arrangements may matter. Registration or a tax form alone does not settle the issue.

Can a departing partner contact the firm's customers?

That depends on the agreement, confidentiality duties, and the conduct involved. Departure does not automatically eliminate existing obligations or settle rights to customer information.

Does a partnership dispute cancel a personal guarantee?

Generally, no. A guarantee creates a separate contractual obligation. Its wording and any applicable defenses require independent review.

Does a partner's death automatically require selling the business?

Not necessarily. Section 62 addresses dissolution following a partner's death, but winding up, continuation rights, and an estate's financial interest require review of the agreement and applicable law.
