Business Investment Law Fundamentals: a Practical Legal Guide

Every sale of an equity interest is a securities transaction. That is the starting point, and most disputes trace back to someone assuming otherwise. Private offerings run on exemptions, and the choice matters. Under Rule 506(b) you may not generally solicit — no public posts, no open pitch events, no cold outreach to strangers. Under 506(c) you may, but you must take reasonable steps to verify that each investor is accredited, which means documents rather than a checkbox. Founders who raise under 506(b) and then post about the round have often lost the exemption they were relying on. Federal exemption is not the whole filing. Form D is due to the SEC, and state notice filings follow their own rules. New York's securities regime operates under the Martin Act, with its own requirements and its own enforcement. For the investor, the question is exit. Securities bought in a private placement are restricted. They cannot simply be resold, and Rule 144 sets holding periods and conditions. Money that goes in on a term sheet may not come out for years, regardless of how the company performs. And a defective offering can be unwound. Where the exemption fails, investors may have a right of rescission — the return of their money — which turns a capital raise into a liability. That risk sits with the issuer, not the investor.
