Accounting Agreement: What Are the Main Risks?

An accounting agreement is a legally binding contract between parties that establishes the terms, scope, and responsibilities governing accounting services, record-keeping, financial reporting, or auditing work. These agreements typically define the accountant's duties, fee structure, confidentiality obligations, and liability limitations under state and federal law. A defective or missing accounting agreement can expose both the service provider and the client to disputes over scope, billing, professional standards, and potential claims of negligence or breach. This article covers the essential elements of accounting agreements, how they function in practice, common disputes that arise, and the legal protections they afford.

How Do Golden Parachute Rules Regulate Severance Compensation?

Golden parachute rules are contractual and statutory provisions that govern severance payments and benefits triggered when a change in corporate control occurs, often in the context of a merger, acquisition, or hostile takeover. Federal tax law, principally Section 280G of the Internal Revenue Code and related regulations, imposes strict limits on the deductibility and tax treatment of these payments. Violations of golden parachute thresholds can result in significant tax penalties, loss of corporate tax deductions, and acceleration of employee taxation at rates exceeding standard withholding. This article addresses the legal framework governing golden parachute arrangements, the tax consequences of excess payments, how courts and the IRS evaluate severance triggers, and what employees and employers should understand about their rights and obligations in change-of-control scenarios.

How Does DMCA Law Protect Your Digital Content from Infringement?

The Digital Millennium Copyright Act (DMCA) is a federal statute enacted in 1998 that extends copyright protections into the digital environment by prohibiting the circumvention of technological protection measures and the removal of copyright management information from digital works. The DMCA establishes two primary anti-circumvention prohibitions: one targeting the act of circumventing access controls, and another targeting circumvention of copy controls. Violation of these provisions can result in civil liability, statutory damages up to $2,500 per violation, and in cases of willful infringement for commercial advantage, criminal penalties including imprisonment. This article covers the statutory framework of DMCA law, the distinction between access controls and copy controls, the safe harbors available to service providers, and the practical implications for individuals and businesses operating in the digital marketplace.

How Do Cbp Binding Rulings Shape Your Tariff Compliance Strategy?

Tariff and customs advisory helps corporations secure CBP binding rulings, respond to duty disputes, and build audit-ready import records. CBP binding rulings offer classification certainty, but outdated rulings create retroactive liability. Tariff and customs advisory helps corporations structure documentation and build legal defenses before disputes arise. In my experience, corporations with proactive tariff advisory practices are better positioned to defend against CBP assessments and avoid penalties.

How the Serious Injury Threshold Impact Car Accident Compensation under New York Law

To recover compensation for pain and suffering following a motor vehicle accident in New York, injured victims must establish that their physical condition meets the serious injury threshold under New York Insurance Law § 5102(d). New York operates under a No-Fault insurance system where First Party Benefits automatically cover basic economic loss, including medical bills and lost wages up to statutory limits, regardless of fault. However, injured parties cannot sue a at-fault driver for non-economic damages unless they prove a qualifying serious injury. Insurance carriers frequently challenge personal injury lawsuits by alleging that soft tissue trauma or sprains fail to reach this legal standard.

How New York Divorce Laws Shape Every Stage of Your Case

Some parts of a New York divorce are calculated. Others are argued. Knowing which is which tells you where your case actually is. Support runs on formulas. Child support and maintenance are both computed by statute up to an income cap, and they interlock — maintenance is calculated first and deducted from income before child support is figured on what remains. Above the cap, discretion returns. Property is not. Equitable distribution does not mean equal. A court weighs statutory factors, and marital fault is generally not among them. What matters is what was earned during the marriage, what was brought into it, and what happened to marital assets along the way. Custody has no formula at all. The standard is the child's best interests, applied to facts that differ in every case. And no-fault did not make divorce faster. Since 2010 either spouse can state the marriage is irretrievably broken, but the judgment cannot be entered until property, support, and custody are resolved. Contested cases take as long as the hardest issue in them.
