Depositing restricted shares does not clean them. The ADR carries the same restriction and the same holding period. Which means the F-6 route is unavailable to begin with. Form F-6 registers the receipts, not the underlying shares, and its use is conditioned on the deposited securities being freely transferable. A depositary will not accept restricted shares into a Form F-6 program. Two paths remain. Satisfy the Rule 144 holding period and conditions, remove the legend, and then deposit. Or establish a restricted ADR program, in which the restriction travels with the receipt — the structure used for Rule 144A distributions. Program level determines the reporting burden. An unsponsored or Level I facility trading over the counter can rely on the Rule 12g3-2(b) exemption. Listing on a U.S. .xchange moves the issuer into registration and continuous reporting, with the foreign private issuer analysis that follows. And an unsponsored program can be created without the issuer's agreement. A depositary may establish one, which produces U.S. .rading and U.S. .olders an issuer did not choose to have.
