International Lawyer Explains How to Start Cross-Border Arbitration

International attorney guidance on cross-border arbitration for California businesses, including filing steps, interim relief, and award enforcement.

An overseas distributor has stopped paying, but your contract requires arbitration. Before filing, check whether negotiation is mandatory and which institution and legal seat govern the case. The location of records and assets can also affect how you prepare the claim and protect your ability to recover.

1. A Proper Arbitration Demand Starts with Notice and Filing Conditions

An unpaid invoice may support a contract claim without establishing that arbitration can begin immediately. Before sending a demand, identify the agreement binding the parties, required preliminary steps, and valid notice methods. Mistakes here can produce procedural objections before anyone considers the payment dispute.

Check the Parties, Claim Scope, and Preliminary Requirements

Compare the signed contract, amendments, purchase orders, and invoices. An affiliate's involvement does not automatically bind its parent to arbitration. Check whether the clause covers payment and termination claims and requires negotiation or mediation first. A required settlement period may affect the filing date.

Review incorporated terms in related international business contracts, particularly if documents contain different dispute clauses. In proceedings governed by California's international arbitration provisions, Code of Civil Procedure (CCP) § 1297.73 recognizes several forms of written agreement, including accessible electronic communications. The record must still establish consent to arbitrate.

Record When the Arbitration Request Reaches the Respondent

Identify the parties, arbitration clause, dispute, and requested relief. Check the institution's fees and delivery rules against the contract's notice requirements. In proceedings governed by CCP § 1297.211, arbitration commences when the respondent receives the request unless the parties agree otherwise. Incorporated institutional rules may provide a different commencement mechanism.

Keep the demand, delivery confirmation, and the institution's acknowledgment instead of treating filing and receipt as interchangeable. Confirm limitation periods separately. Negotiations do not necessarily stop time from running, and notice to the wrong entity can create further disputes.

2. The Legal Seat Determines Which California Arbitration Rules Apply

A California office address does not establish the procedural law. California's International Arbitration and Conciliation Act (CIACA), CCP § 1297.11 et seq., generally governs qualifying international commercial arbitration seated in California. Certain court-support provisions also apply when the seat is elsewhere.

Distinguish the Arbitral Seat from the Hearing Location

The seat identifies the arbitration's legal home and usually affects court supervision. Hearings may take place elsewhere without changing the seat. Institutional rules address administration, while choice of law generally identifies the law governing the contract. Language provisions affect translations but do not decide jurisdiction.

Under CCP § 1297.12, most CIACA provisions require a California seat, with specified exceptions for court assistance involving arbitration agreements and interim measures. The broader international arbitration process may also involve the Federal Arbitration Act (FAA), but Convention coverage must be assessed separately.

Seek Interim Relief Based on Specific Harm

Filing a demand does not freeze assets or preserve disputed evidence. Where CIACA's tribunal provisions apply, CCP § 1297.171 permits specified interim measures, including preserving assets or material evidence, unless the parties agree otherwise.

Under § 1297.172, most requests require likely harm not adequately reparable by damages, harm that substantially outweighs the likely harm to the opposing party, and a reasonable possibility of success. For evidence-preservation measures, the tribunal applies those requirements only to the extent it considers appropriate.

CCP §§ 1297.90–1297.91 permit requests for superior-court interim relief even when the seat is elsewhere. Court jurisdiction and ordinary relief standards still apply. An order affecting property abroad may require action under the law where that property sits.

3. The Claim Record Must Connect Each Breach to a Requested Remedy

The claim should connect contractual duties to dated events, supporting records, and the specific relief sought. Keep the initial demand distinct from the fuller statement of claim required by the parties' rules or tribunal timetable. Each claimed amount needs its own supporting explanation.

Build an Evidence Record for Payment and Delivery Claims

Preserve contract versions, original correspondence, purchase orders, shipment records, and payment histories. Account for credits, returns, and disputed setoffs when calculating the claim. A delivery dispute may turn on inspection or acceptance rather than shipping alone.

For proceedings under CCP § 1297.231, the claimant states the supporting facts, issues, and requested relief within the agreed or tribunal-directed period, unless the parties have agreed on different requirements. Broader international business disputes may present additional claims, but the arbitration submission must remain tied to remedies the tribunal can award.

Plan for Translation, Witnesses, and Procedural Costs

Identify staff who approved orders, deliveries, or payment extensions. Preserve original files and metadata where available, rather than relying on screenshots or translated excerpts alone. Determine which exhibits need translation or certification under the applicable rules.

International arbitration does not automatically follow U.S. .ourt discovery procedures. The tribunal and governing rules determine document production and witness evidence. Budget for institutional deposits, arbitrators, interpreters, experts, and hearings. Translation and evidence disputes can create expenses well before a merits hearing, particularly when records sit in multiple countries.

4. Collection Prospects Should Shape the Requested Relief before Filing

An award against the contracting entity is not automatically collectible from its affiliates. Identify the expected award debtor, known assets, and places where collection proceedings may be needed. This assessment can affect both the remedies requested and whether pursuing the claim is commercially sensible.

Match the Respondent to Reachable Assets

Identify which entity holds bank accounts, receivables, or property using lawfully available records. Asset location determines where collection procedures may be required. Common ownership does not, by itself, allow execution against a different company's property.

Consider damages limits, interest, and enforcement costs where assets are located. Evidence of imminent asset dissipation may support an interim-relief request, but a general concern about unpaid debts does not satisfy the legal standard for an asset freeze. An international attorney should also identify whether the contract restricts available remedies before those remedies appear in the demand.

Distinguish Convention Awards from Foreign Court Judgments

Under 9 U.S.C. § 202, the New York Convention framework covers qualifying commercial arbitration relationships with the required international connection. Section 207 allows an application to a U.S. .ourt with jurisdiction to confirm a covered award within three years after it is made, subject to Convention grounds for refusal or deferral.

Confirmation does not equal collection abroad. A foreign court money judgment follows a separate recognition framework, including California CCP §§ 1713–1725 for qualifying judgments.

The wider international dispute resolution process may involve different forums, but an arbitration claimant should resolve notice, interim relief, and collection questions before committing substantial costs.
