The most expensive mistake is not overpaying for a subsidiary. It is not needing one. Selling into a country is not the same as operating there. A New York company can often contract with foreign customers without forming anything, provided its activities stay below the threshold that creates a taxable presence. Where they cross it — an employee on the ground, someone with authority to conclude contracts, sometimes less — tax obligations attach whether or not an entity exists. Companies that skipped formation to save money are the ones we see receiving assessments. Formation costs are the smaller number. The recurring items are what drive the budget: local accounting and statutory filings, transfer pricing documentation for transactions between the parent and the subsidiary, and payroll infrastructure if anyone is employed locally. These arrive annually, not once. U.S. .eporting continues regardless. Ownership of a foreign entity triggers filings on the U.S. .ide — information returns on controlled foreign corporations, foreign account reporting — with penalties that are assessed per form and per year. Where the money actually goes depends first on whether you need an entity at all, and second on which one. That question takes an hour to answer and changes the rest of the budget.
