A sole proprietor or general partnership operating under an assumed name files instead with the county clerk of each county in which the business is conducted, and the filing is required, not optional. The name itself has to satisfy the statute. A corporate name must carry Incorporated, Corporation, Limited, or an abbreviation, and must be distinguishable from names on the Department's index (Business Corporation Law § 301); an LLC name must carry Limited Liability Company, LLC, or L.L.C. (Limited Liability Company Law § 204). Both statutes restrict words such as bank, trust, insurance, academy, and education, which require the consent of the agency regulating that field. A name may be reserved for sixty days while the documents are prepared. One requirement applies to LLCs alone. Under Limited Liability Company Law § 206, a new LLC must publish notice within 120 days of formation, once a week for six consecutive weeks, in two newspapers designated by the clerk of the county where its office is located, and then file a Certificate of Publication with the Department of State. An LLC that misses the deadline loses its authority to carry on business in New York until it complies, though the company continues to exist and its existing contracts remain enforceable. Corporations have no equivalent obligation.
