A compliance program's real function is what it does after something goes wrong. Since 2019, the Antitrust Division considers program effectiveness at the charging stage and in deciding whether a deferred prosecution agreement is appropriate. That was not previously the case in criminal antitrust matters. The program is also a sentencing factor. Its value is measured at the moment it has already failed. One global policy will violate something. Resale price maintenance is assessed under the rule of reason in U.S. .ederal law, treated as a hardcore restriction in the EU, and per se unlawful under some U.S. .tate laws. A distribution policy written for one framework does not travel. Information exchange has narrowed in the United States. The agencies withdrew their longstanding safe harbor guidance in 2023, and benchmarking, wage data sharing, and algorithmic pricing now draw scrutiny that prior guidance appeared to permit. Merger notification thresholds are jurisdiction-specific. A transaction below the U.S. .hreshold can be reportable elsewhere, and closing without a required filing creates its own liability. And leniency does not transfer. An application in one jurisdiction secures nothing in another. Where conduct spans several, filings have to be coordinated and made close together — a delay of days can cost the position somewhere else.
