New York law lets parties choose it without any connection to the state, but the two provisions have different thresholds. Under General Obligations Law § 5-1401, a contract of $250,000 or more may select New York law regardless of the parties’ relationship to New York. Under § 5-1402, a non-resident may be sued here only where the contract is for $1,000,000 or more, selects New York law, and contains the non-resident’s consent to New York jurisdiction. A choice-of-law clause alone does not supply a forum. Where clauses fail, it is usually on exclusivity rather than clarity. A provision stating that actions “may be brought” in New York is permissive and does not prevent suit elsewhere; it has to say that the chosen forum is exclusive. Section 5-1401 also does not reach contracts for labor or personal services, or for personal, family or household services. Choosing New York law does not carry New York procedure with it. Limitations periods are treated as procedural, and a court applies its own, including the borrowing statute in CPLR 202 where the cause of action accrued elsewhere, unless the contract expressly selects another state’s limitations period. Separately worth noting: a governing law and forum clause has no bearing on whether a shareholder or officer can be held personally liable. Veil piercing turns on capitalization, commingling of funds, observance of corporate formalities and domination of the entity, and advancement of defense costs comes from the charter, bylaws and indemnification agreements — not from the dispute resolution provisions.
