A payment default in a documentary trade produces two claims against two different parties, and they do not travel together. A letter of credit is the issuing bank’s independent undertaking. Under UCP 600 Article 4 and UCC § 5-103(d) it is separate from the sale contract, so a dispute about the goods does not relieve the bank, and the bank’s dishonor — ordinarily for discrepancies in the presented documents — is not the buyer’s act. A beneficiary’s remedy for wrongful dishonor runs against the bank under UCC § 5-111, in court. The bank is not a party to the sale contract and is not bound by its arbitration clause. Arbitration is the route against the buyer on the underlying contract. One feature of the Article 5 claim is worth noting by contrast: § 5-111(e) requires an award of reasonable attorney’s fees to the prevailing party, which is not the default in ordinary commercial litigation. On provisional relief, CPLR 7502(c) permits a New York court to order an attachment or preliminary injunction in connection with an arbitration that is pending or about to be commenced, including one seated outside New York, on a showing that the eventual award may otherwise be rendered ineffectual. That application is made early, before assets move.
