How to Negotiate Franchise Agreement Provisions in New York for Maximum Protection

Most franchise agreements are not negotiable, and a lawyer who tells you otherwise is selling something. What is usually available is timing — opening deadlines, development schedules, sometimes fee deferral. Territory, transfer restrictions, default provisions, and renewal terms are typically fixed, because the franchisor cannot vary them without creating inconsistency with the agreement filed in its disclosure document. Which makes the disclosure document the real subject of review. You have at least fourteen days with it before you can sign or pay anything, and New York adds its own registration and delivery requirements. That window is the leverage. Item 20 tells you more than the contract does. It reports outlet transfers, terminations, and non-renewals over three years. A system losing franchisees at a steady rate is telling you something no clause will. Item 19 tells you what is missing. Financial performance representations are optional. Where a franchisor provides none, it has no substantiated basis for any earnings figure — and a salesperson who offers one anyway is violating the rule that governs the disclosure. One protection survives whatever you sign. New York's Franchise Sales Act voids conditions purporting to waive its provisions. A choice-of-law clause pointing to the franchisor's home state does not remove rights the statute gives you here.
