Chargeback Rights in New York When a Merchant Refuses a Refund

A refund is money the seller agrees to return. A chargeback is a reversal the cardholder's bank pursues through the card networks. The two run on different rules, and in New York there is a third source that often resolves the matter first. Under General Business Law § 218-a, a retailer must post its refund policy conspicuously. A retailer that has not posted one must give a refund within twenty days of purchase. So the first question is not what the merchant's policy says but whether it was posted at all. On a credit card, two federal rights apply. A billing error must be disputed in writing within sixty days of the statement on which it appeared (15 U.S.C. § 1666; Regulation Z). Separately, a cardholder may assert claims and defenses against the card issuer for a purchase over $50 made in the cardholder's state or within 100 miles of their address, after a good-faith attempt to resolve it with the merchant. A debit card is not the same. Regulation E covers unauthorized transactions and errors, not disputes about whether goods matched what was promised. A debit dispute rests on network rules alone, which are the card brand's private rules rather than a legal right. If none of that resolves it, deceptive conduct is separately actionable under General Business Law § 349, which allows a private suit with minimum damages and attorney's fees, and complaints can go to the Attorney General's Bureau of Consumer Frauds or the Division of Consumer Protection.

How Legal Structure Shapes Your Business Succession Planning Outcomes

Succession and Entity StructureA sole proprietorship does not have a succession path. It has an ending. There is no entity to transfer, contracts do not survive, and on the owner's death the business ceases to exist as a legal matter — the assets pass, the enterprise does not. New York has a real deadline, and it is not the one people worry about. The state's estate tax exclusion operates as a cliff. Exceed the threshold by a defined margin and the exclusion disappears entirely — not just for the excess. Estates a few percentage points apart can owe dramatically different amounts. Planning around that line is the most consequential number in most New York succession plans. The instinct to transfer early is often wrong. Assets held until death receive a basis step-up to fair market value. Gifted during life, they carry the owner's original basis to the recipient. Owners who transfer early to "get ahead of it" frequently hand their successors a tax bill they could have eliminated by doing nothing. For S corporations, the risk is disqualification. Shares that reach an ineligible holder — including most ordinary trusts — terminate the election. Succession plans that route stock through a trust need that trust to qualify as a QSST or ESBT before the transfer, not after. And check the buy-sell. Recent authority has changed how company-owned life insurance is treated in valuing a business for estate tax purposes. Redemption structures funded that way may no longer work as designed.
