A durable power of attorney helps business owners maintain legal authority when illness or incapacity prevents them from managing the business. I often see confusion about when an agent may act and how that authority fits within broader succession planning. A durable power of attorney works alongside corporate documents, trusts, and wills to reduce uncertainty. Establishing a durable power of attorney before incapacity helps support business continuity.

Criminal exposure under the OSH Act itself is narrow. A willful violation of a standard causing an employee’s death is a misdemeanor under 29 U.S.C. § 666(e), carrying up to six months, and the provision runs against the employer — an individual is reached only where he or she falls within the statutory definition, not by virtue of title. The felony exposure comes from other statutes and from conduct during the investigation rather than before it. A knowingly false statement in a matter within the agency’s jurisdiction is a felony under 18 U.S.C. § 1001, and altering or destroying records to impede an investigation is a felony under § 1519. Section 666(g) separately makes a knowingly false statement or certification in a required filing an offense, which reaches injury and illness logs. State prosecutions for manslaughter or criminally negligent homicide are the other route. One structural point matters from the first day. The company’s privilege belongs to the company, which may waive it, and company counsel does not represent individual officers — the reason Upjohn warnings are given before internal interviews. An officer whose own conduct may be examined needs separate counsel before those interviews, not after.
