The answer is not obvious in advance, and it can extinguish a claim that seemed timely. And the parties can shorten it further. Section 2-725 permits reducing the period to as little as one year by agreement. That provision sits in many standard terms of sale, and buyers usually encounter it after the defect appears. Most B2B disputes start with the paperwork not matching. A purchase order and an acknowledgment with different terms still form a contract. Between merchants, additional terms in the response become part of the agreement unless they materially alter it or the other side objects. Which means your counterparty's boilerplate may be in your contract without anyone having agreed to it. The writing requirement has a merchant exception worth knowing. A confirmation sent between merchants satisfies the statute of frauds against the recipient unless they object within ten days. An unanswered email can bind you. On remedies, a buyer who covers recovers the difference in price; one who accepts defective goods recovers the difference in value. Contractual limits on those remedies hold — until the limited remedy fails of its essential purpose, at which point the full range returns.
