Payroll Tax Fraud Defense for Business Owners and Executives

Payroll tax fraud defense addresses allegations of willfully failing to remit withheld taxes, filing false Forms 941, or both.

IRS-CI may examine who controlled payments, knew about unpaid taxes, and directed filings. Defense review connects those decisions to individual duties and intent. Any civil Trust Fund Recovery Penalty proceeding requires separate analysis.

Prosecutors must prove beyond a reasonable doubt a duty to collect, account for, and pay over the relevant tax, a failure to perform that duty, and willfulness. An unpaid balance alone does not establish criminal liability.

Actual Authority and Individual Conduct

Ownership or a CFO title does not automatically establish responsibility. Bank permissions, payment approvals, and payroll instructions help show who actually controlled tax payments during the charged periods.

The review distinguishes employees who processed information from individuals who could direct payments. Authority may change over time, making each person’s role during the relevant quarters significant.

Knowing and Intentional Nonpayment

Criminal willfulness means voluntarily and intentionally violating a known legal duty. IRS notices, internal warnings, and decisions to pay other creditors may support the government’s allegations.

Financial hardship does not automatically excuse nonpayment. An accurate Form 941 also does not defeat a charge based on deliberately failing to remit withheld taxes.

2. Records That Shape an Employment Tax Fraud Defense

A quarter-by-quarter timeline can identify what each person knew and which decisions they made. Discrepancies require investigation rather than an assumption of fraud.

Compare Reporting with Actual Payments

The following records help test the allegations:

RecordsRelevant Question
Payroll registers and Forms 941Do reported wages and withholding match?
Bank statements and deposit confirmationsDid payments reach the IRS or fail?
Approval logs and emailsWho authorized payments and knew about shortfalls?

Preserve original files and audit trails. Evidence preservation should also cover records held by payroll providers and accountants.

Separate Nonpayment from False Reporting

Knowingly signing a materially false Form 941 under penalties of perjury may implicate §7206(1). A §7201 tax evasion charge requires separate elements, including an affirmative attempt to evade tax.

A tax fraud defense should identify the alleged false statement, its author, and the evidence of knowledge. A reporting error alone does not establish intentional falsification.

3. Responding to IRS-Ci and Federal Charges

An IRS Criminal Investigation special agent’s contact warrants review of the investigation’s scope and the individual’s status. Interview requests, subpoenas, and search warrants require different responses.

Interviews and Document Requests

Before a voluntary interview, an attorney can assess participation and review the proposed subjects. A subpoena requires attention to its deadline, scope, and any valid objections or privileges.

Do not alter historical entries or create backdated explanations. Preserve records while an attorney reviews production obligations and communications with investigators.

Precharge Review and Court Defense

Before indictment, an attorney may test factual assumptions and evaluate whether to submit information. After charges, defense work includes discovery, motions, negotiations, and trial preparation.

Section 7202 permits up to five years’ imprisonment per count. That maximum does not predict the sentence; the convictions, applicable Sentencing Guidelines, and individual circumstances affect sentencing.

4. Practical Pitfalls in Parallel Tax Proceedings

Civil collection and criminal investigation may involve the same payroll periods but different liability standards. Statements and submissions require coordination across both proceedings.

Confusing Civil Assessment with Criminal Guilt

The Trust Fund Recovery Penalty under §6672 concerns civil personal liability for unpaid trust fund taxes. Its willfulness standard differs from criminal willfulness, and an assessment does not itself establish criminal guilt.

Civil interviews may still concern facts relevant to prosecution. Detailed assessment and appeal procedures require separate review from the criminal defense.

Overlooking Conflicts and Privilege

The company, owner, and finance team may have conflicting interests. Clarify whom the attorney represents before sharing personal accounts of payment decisions.

During internal investigations, disclosure to authorities may waive applicable protections. Copying an attorney does not automatically make business records privileged.

5. Frequently Asked Questions

Later payment and outsourced payroll raise additional questions about criminal exposure.

Does Paying the Taxes Later Prevent Prosecution?

Payment does not automatically erase a completed offense. Its significance depends on the facts, timing, and procedural stage, including potential restitution and sentencing considerations.

Can Reliance on a Payroll Provider Matter?

Documented reliance may help explain knowledge and conduct, but delegation alone does not resolve responsibility. Funding transfers, provider reports, and responses to warnings matter.

For a defense consultation, bring IRS correspondence, subpoenas, charging documents, and the relevant payroll periods. An attorney can assess individual exposure, preservation needs, response deadlines, and representation before substantive discussions with investigators.
