I am a prospective founder preparing to establish a one-person corporation. To reduce initial costs, I am trying to handle the commercial registration myself. There should be no particular problem if I do it alone, right?

Hello. This is an attorney experienced in corporate law at Daeryun Law LLC.
Commercial registration is a procedure that must be gone through when establishing a corporation or changing important matters, and it is an important step that publicly discloses the company's legal status to the outside.
There are many cases in which people try to reduce costs by handling the commercial registration alone, but if they do not accurately understand the procedures and requirements, this can instead cause delays or incur the cost of reapplying.
The basic documents required when establishing a corporation include the application for incorporation registration, the articles of incorporation, the seal certificates of the promoters and officers, a copy of the business premises lease agreement, and documents related to business registration, and additional documents may be required depending on the circumstances.
In particular, if the contents of the articles of incorporation do not match the entries in the registration application, or if the seal-affixing requirements are not met, the application may become subject to correction or rejection.
Commercial registration must be applied for by visiting the competent registry office in person or submitted online through the electronic registration system.
However, in the case of establishing a corporation, in principle the commercial registration must be completed first and then business registration must proceed, so it is important not to confuse the order in order to avoid disruptions to the schedule.
It is mainly one-person founders or those planning to establish small corporations who tend to handle the commercial registration alone in order to save costs.
However, since the manner of entry varies depending on the corporation's purpose, capital structure, composition of officers, and share issuance structure, there are quite a few cases where legal judgment beyond mere document preparation is required.
The most frequent problems in practice are missing documents, entry errors, and passing the deadline.
If commercial registration is not applied for within a certain deadline, an administrative fine may be imposed, and if there is a legal defect in the contents of the articles of incorporation, problems may arise later in the course of attracting investment or conducting financial transactions.
Therefore, reviewing the legality of the establishment structure and the contents of the articles of incorporation, confirming that the submitted documents are complete, and checking the application deadline and the order of procedures must come first.
In addition, rather than approaching the matter solely on the basis of cost savings, it is necessary to make a judgment that also takes into account the legal risks that may arise in the future.
Commercial registration is the procedure that serves as the starting point of a company. If the structure is not accurately designed in the early stages, additional costs may arise later through procedures to amend the articles of incorporation or correct the registration.
Daeryun, Korea's ninth-largest law firm (based on 2025 National Tax Service value-added tax filings), provides corporate-tailored legal advice covering not only commercial registration in general but also the design of the articles of incorporation, the establishment of governance structures, and the review of structures in preparation for investment.
If you are about to establish a corporation, you may wish to obtain a structural review in advance.
