The instinct to transfer early is usually the expensive one. Assets held until death receive a basis step-up to fair market value. Gifted during life, they do not. An owner who transfers shares to a child "to get ahead of it" hands that child the original basis and a tax bill that doing nothing would have eliminated. This is the single most common and most costly succession mistake we see. New York's estate tax operates as a cliff. Exceed the exclusion by a defined margin and the exclusion disappears entirely — not just for the excess. Two estates a few percentage points apart can owe dramatically different amounts. Planning around that line matters more than any other number in a New York plan. An unfunded buy-sell agreement is a document, not a plan. And where funding runs through company-owned life insurance, recent authority has changed how those proceeds are treated in valuing the business for estate tax purposes. Redemption structures built on the old assumption may no longer work. For S corporations, the risk is disqualification. Shares reaching an ineligible holder — including most ordinary trusts — terminate the election. Trusts used in succession planning must qualify before the transfer, not after.Most of these are correctable while the owner is alive. None of them are afterward.
