The issuance of new shares by a stock company is treated as equivalent to the company's business execution, and as long as the representative director has issued new shares pursuant to that authority, the new share issuance is valid. Even if there is no board of directors' resolution concerning the new share issuance or there is a defect in the board's resolution, the board's resolution is merely an internal decision of the company, and therefore it does not affect the validity of the new share issuance.

An issuance of new shares means the issuance of newly created shares out of the unissued portion of the total number of shares to be issued, after a stock company has been established.
