Q
What contents should be included in a share transfer contract?
Vues1,698
I recently experienced a confusing incident and am asking for help. A few months ago, an unknown telecom company started sending me overdue payment notices. At first I thought it was spam and ignored it, but later, delinquency notices and demand letters in my name started coming to my home... Finding it strange, I inquired with the telecom company and learned there's a phone line opened in my name and resident registration number with several months of unpaid bills. But I've never used that telecom, so I looked into it and found that a friend secretly opened a line using my resident registration number. I can't even reach them now. In this case, am I responsible for the bill? Can this be punished as identity theft? I feel so wronged and worried. Please advise.

Since a share transfer contract may lead to future disputes if the transaction conditions and scope of responsibility are not clearly determined, key items must be included.
Share transfer is a transaction in which rights and status as a shareholder are transferred, so the contract content is very important.
Therefore, the share transfer contract should include the following content step by step.
① Specifying Parties and Share Details
The personal information of the transferor and transferee, the target company, the number of shares, and the equity ratio must be clearly stated.
If which shares are being transferred is not specified, the contract itself may become unclear.
② Transfer Price and Payment Conditions
The most important part of share transfer—not only the amount but also payment timing, method (account transfer, etc.), and whether installment payment will be made—must be specifically determined.
③ Representations and Warranties Clause
This is the content that guarantees that the transferor is the legitimate owner of the shares and determines the scope of responsibility for hidden debts or legal issues in the company.
④ Liability and Damages Clause
If facts different from the contract content are discovered, how to bear responsibility and how to determine the scope of damages must be specified.
⑤ Share Transfer Procedure and Timing
When the share transfer will be completed, and how to proceed with shareholder register changes or name transfer procedures, must be determined.
The share transfer contract is a key document that serves as a standard in case of future disputes, and if representations and warranties or liability clauses are omitted, you may bear unexpected debts or legal issues, so caution is needed.
Also, in addition to these, confidentiality clauses, prerequisites, etc. must be set, so careful response is necessary.
Therefore, when proceeding with share transfer, it is important to clearly organize the transaction conditions and reflect them in the contract, and when the structure is complex or the amount is large, it is necessary to check the contract content through legal review in advance.
